CONFERENCE ROOM USE AGREEMENT

This Conference Room Use Agreement (the "Agreement") is entered into by and between Provider Name: with Provider Address: (hereinafter "Provider"), and Client Name: with Client Address: (hereinafter "Client").

WHEREAS

WHEREAS, Provider operates and maintains conference room facilities available for temporary use by third parties under terms and conditions mutually agreed by the parties;

WHEREAS, Client desires to reserve and use the conference room described below for meetings, presentations, or related business activities consistent with the scope set forth herein; and

WHEREAS, the parties intend for this Agreement to set forth the rights, obligations, fees, and operational rules governing Client's permitted use of the conference room.

PAYMENT TERMS

If Client fails to pay any amount when due, Client will pay interest at the rate of on the overdue balance, plus any collection costs and reasonable attorney's fees incurred by Provider.

Provider may terminate this Agreement immediately if Client materially breaches any provision and fails to cure such breach within the specified cure period in a written notice. Upon termination, Client shall vacate the premises immediately, and Provider shall be entitled to pursue all remedies at law or in equity.

USE RULES, FACILITIES AND EQUIPMENT

Capacity and Permitted Use: Client shall use the conference room solely for lawful business purposes consistent with the Scope of Use. Maximum occupancy is persons unless otherwise approved in writing.

Setup, Cleanup, and Damage: Client is responsible for timely setup and cleanup. Client shall return the room to the condition it was provided. Client shall be liable for damage beyond normal wear and tear and agrees that Provider may deduct repair costs from any deposit.

Access and Security: Access times are limited to the scheduled period unless otherwise authorized. Client shall not provide access credentials to third parties. Provider may deny access for safety or security concerns.

CANCELLATION AND RESCHEDULING

Cancellation by Client must be delivered in writing. If cancellation occurs fewer than days before the scheduled use, Client forfeits the deposit. Rescheduling is subject to Provider's availability and may incur additional fees.

CONFIDENTIALITY

Each party acknowledges that it may receive Confidential Information of the other party. "Confidential Information" means nonpublic business, financial, technical, or other information identified as confidential at disclosure or that reasonably should be understood to be confidential. Each party shall hold Confidential Information in strict confidence, shall not disclose it to third parties except to employees or contractors who have a need to know and who are bound by confidentiality obligations, and shall not use Confidential Information except to exercise rights or perform obligations under this Agreement. The obligations of confidentiality do not apply to information that: (a) is or becomes publicly available without breach of this Agreement; (b) is lawfully obtained from a third party without restriction; or (c) is independently developed without use of the other party's Confidential Information.

INSURANCE AND INDEMNIFICATION

Insurance: Client shall maintain at its expense commercial general liability insurance with limits not less than $1,000,000 per occurrence (or such other amount as required by Provider) and shall provide proof of insurance upon request.

Indemnification: Client agrees to indemnify, defend and hold harmless Provider, its officers, employees, agents and affiliates from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from Client's use of the conference room, breach of this Agreement, or the acts or omissions of Client or Client's invitees.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to choice-of-law principles. Venue for any action arising under this Agreement shall be the courts located in the county where Provider's principal facility is located.

ENTIRE AGREEMENT

This Agreement, together with any attachments, exhibits, or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not constitute a waiver of any other breach. The parties are independent contractors and nothing in this Agreement creates an employment, partnership or agency relationship.
