CONFIDENTIALITY RIGHTS AGREEMENT

RECITALS

WHEREAS, in connection with discussions and potential business arrangements between the Parties, each Party may disclose certain confidential and proprietary information to the other; and

WHEREAS, the Parties desire to define the rights, obligations and protections applicable to such information, including ownership of intellectual property and restrictions on use and disclosure; and

WHEREAS, the Parties intend that certain disclosed information shall be maintained in confidence and that certain rights in and to such information may be retained or transferred according to the terms set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. Definitions

1.1 "Confidential Information" means any information, whether written, oral, electronic or other form, disclosed by a Disclosing Party to a Receiving Party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, trade secrets, business plans, financial data, technical information, software, specifications, designs, inventions, processes, customer lists, pricing, and any notes, analyses or derivations thereof.

1.2 "Disclosing Party" means the Party disclosing Confidential Information. "Receiving Party" means the Party receiving Confidential Information.

2. Exclusions

2.1 Confidential Information does not include information that: (a) is or becomes generally available to the public other than through a breach of this Agreement by the Receiving Party; (b) was lawfully in the Receiving Party's possession prior to disclosure by the Disclosing Party without obligation of confidentiality; (c) is disclosed to the Receiving Party by a third party having no obligation of confidentiality to the Disclosing Party; or (d) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.

3. Confidentiality Obligations

3.1 Standard of Care. The Receiving Party shall protect the confidentiality of the Disclosing Party's Confidential Information using at least the same degree of care it uses to protect its own confidential information of a similar nature, but in no event less than a reasonable standard of care.

3.2 Use Limitation. The Receiving Party shall use Confidential Information solely for the purpose of evaluating or pursuing the business relationship described in Recitals and shall not use Confidential Information for any other purpose without the prior written consent of the Disclosing Party.

3.3 Non-Disclosure. The Receiving Party shall not disclose Confidential Information to any person or entity except to those of its employees, officers, directors, agents, contractors or affiliates who (a) have a strict need to know such information for the permitted purpose and (b) are bound by confidentiality obligations at least as protective as those set forth in this Agreement.

4. Ownership; Rights in and to Confidential Information

4.1 Retained Ownership. All Confidential Information and any intellectual property rights therein shall remain the sole and exclusive property of the Disclosing Party or its licensors. Nothing in this Agreement shall be construed as granting any license, by implication, estoppel or otherwise, under any patent, trademark, copyright, trade secret or other intellectual property right of the Disclosing Party, except as expressly set forth herein.

4.2 No Assignment of Rights. No assignment of ownership or transfer of rights in Confidential Information is effected by disclosure under this Agreement unless the Parties execute a separate written agreement specifying such assignment or transfer.

5. Required Disclosures; Permitted Disclosures

5.1 Legal Compulsion. If the Receiving Party is compelled by law, regulation or judicial process to disclose Confidential Information, the Receiving Party shall, to the extent legally permitted, provide prompt written notice to the Disclosing Party and cooperate reasonably with the Disclosing Party in any effort to obtain a protective order or other remedy.

5.2 Aggregated Data. The Receiving Party may use Confidential Information in aggregated or anonymized form in a manner that does not identify or permit identification of the Disclosing Party or any individual, provided that such use does not disclose underlying Confidential Information.

6. Return or Destruction

Upon written request of the Disclosing Party, the Receiving Party shall promptly return or, at the Disclosing Party's option, destroy all tangible materials embodying Confidential Information and shall certify in writing that such materials have been returned or destroyed, except that the Receiving Party may retain one archival copy to the extent required by law or its reasonable document retention policies, subject to continued confidentiality obligations.

7. Term; Survival

7.1 Term. This Agreement shall commence on the Effective Date and continue until terminated by either Party upon thirty (30) days' prior written notice to the other Party. Notwithstanding termination, the Receiving Party's obligations with respect to Confidential Information disclosed during the term shall survive for a period of five (5) years from the date of disclosure, unless such Confidential Information constitutes a trade secret under applicable law, in which case confidentiality obligations shall survive for so long as the information remains a trade secret.

8. Remedies

The Parties acknowledge that a breach of this Agreement may cause irreparable harm for which monetary damages would be inadequate. Accordingly, in addition to any other remedies available at law or in equity, the Disclosing Party shall be entitled to seek injunctive relief to prevent or curtail any actual or threatened breach without the necessity of posting bond or proving actual damages. The prevailing Party in any action to enforce this Agreement shall be entitled to recover reasonable attorneys' fees and costs.

9. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a Party may designate by written notice. Notices shall be deemed given upon personal delivery, upon confirmed receipt by overnight courier, or three (3) days after deposit in the United States mail, postage prepaid, certified or registered mail, return receipt requested.

10. Amendments; Waiver; Counterparts

10.1 Amendment. This Agreement may be amended or modified only by a written instrument duly executed by both Parties.

10.2 Waiver. No failure or delay by either Party in exercising any right under this Agreement shall operate as a waiver of that right, nor shall any single or partial exercise of any right preclude any other or further exercise of that right.

10.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be binding.

11. Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the Parties: Governing State: without regard to its conflict of laws principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for the resolution of disputes arising under this Agreement.

12. Entire Agreement; Severability

12.1 Entire Agreement. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings and agreements, whether written or oral, relating thereto.

12.2 Severability. If any provision of this Agreement is found to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby, and the Parties shall endeavor in good faith to replace the invalid provision with a valid provision that most nearly effects the Parties' original intent.

13. Miscellaneous Provisions

13.1 Assignment. Neither Party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other Party, except that either Party may assign this Agreement in connection with a merger, sale of substantially all assets, or change of control.
