CONNECTIVITY LEASED LINE AGREEMENT

This Connectivity Leased Line Agreement (the Agreement) is entered into as of Effective Date: by and between:

WHEREAS

WHEREAS, Provider operates and maintains telecommunications and data connectivity infrastructure and offers dedicated leased line connectivity services to business customers; and

WHEREAS, Client desires to obtain from Provider, and Provider agrees to provide, a dedicated connectivity leased line described in this Agreement under the terms and conditions set forth below.

WHEREAS, the parties intend that Provider shall install, commission, and operate the leased line subject to agreed service levels and Client shall pay Provider the fees described herein.

1. SCOPE OF WORK

Provider will supply a dedicated point-to-point leased line between the endpoints specified below, including installation, configuration and activation, in accordance with the technical and operational specifications set forth in this Section.

2. INSTALLATION & ACCEPTANCE

Provider shall commence installation within Lead Time: after receipt of a signed Order Form and any required access approvals. Provider will perform acceptance testing and notify Client upon successful activation. Acceptance shall be deemed complete upon Provider’s written notice of service activation or upon Client’s failure to notify Provider of material defects within Acceptance Period: from activation.

3. PAYMENT TERMS

Client shall pay Provider the fees described below. All amounts are exclusive of applicable taxes unless otherwise stated.

4. TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue in effect until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least Notice Period: days prior to the effective date of termination. Either party may terminate immediately for material breach that is not cured within Cure Period: days after written notice of the breach.

Upon termination, Client shall pay Provider for all services performed and non‑cancelable obligations incurred through the effective date of termination. Provider may suspend service for nonpayment after Payment Due Days: days following invoice date.

5. CONFIDENTIALITY

Each party (Recipient) shall hold in confidence and not disclose or use for any purpose other than performance under this Agreement any Confidential Information of the other party (Discloser). Confidential Information includes business plans, technical specifications, pricing, network designs, customer data and other non-public information disclosed in connection with the Agreement. Confidential Information does not include information that is or becomes publicly available without breach, or that is independently developed by Recipient without use of Discloser’s Confidential Information, or required to be disclosed by law subject to prior notice to Discloser where legally permissible.

The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years, except for trade secrets which shall remain confidential for as long as they qualify as trade secrets under applicable law.

6. SERVICE LEVELS AND LIMITATIONS

Provider will use commercially reasonable efforts to provide service availability as specified in the applicable Service Level Agreement (SLA). Remedies for failure to meet SLA will be limited to service credits as specified in the SLA and are Client’s sole and exclusive remedy for service outages. Provider’s liability for service interruptions is subject to exclusions for force majeure, fiber cuts outside Provider’s control, and Client-side equipment or configuration issues.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that State for all disputes arising out of or relating to this Agreement.

8. ENTIRE AGREEMENT

This Agreement, together with any executed Order Forms, Service Level Agreement and any attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by duly authorized representatives of both parties.

9. MISCELLANEOUS PROVISIONS

Neither party shall assign this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its assets. Notices shall be in writing and delivered to the addresses set forth above or such other address as a party may designate by written notice. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
