CONSIGNMENT SALES CONTRACT

Parties

This Consignment Sales Contract (the "Agreement") is entered into as of Effective Date: by and between the following parties.

Recitals (WHEREAS)

WHEREAS, Consignor is the owner of certain goods described in this Agreement and desires to deliver such goods to Consignee for the purpose of sale on consignment; and

WHEREAS, Consignee operates a place of business at the address provided above and has agreed to accept possession of the goods and to use commercially reasonable efforts to sell the goods on behalf of Consignor in accordance with the terms set forth herein.

WHEREAS, the parties desire to set forth their respective rights and obligations concerning the consignment, sale, accounting, and disposition of the goods.

Description of Consigned Goods

The goods to be consigned under this Agreement are described below. The description shall include quantity, make/model (if applicable), serial numbers, current condition, and any identifying marks. Additional items delivered after execution of this Agreement shall be added by written inventory delivered to the Consignee and acknowledged in writing.

Scope of Work

Consignee shall accept possession of the goods and shall: (a) store the goods in a commercially reasonable manner; (b) use reasonable efforts to market and sell the goods at the agreed prices or at prices approved by Consignor; (c) provide regular written sales reports to Consignor; and (d) remit funds due to Consignor in accordance with the Payment Terms below. Consignee is authorized to display the goods, negotiate and accept offers for purchase, and to execute sales on behalf of Consignor subject to the limitations contained in this Agreement.

Payment Terms

Commission to be paid to Consignor for each item sold: of the gross sale price.

Reserve price (minimum acceptable sale price) for listed items, if any:

Late payments shall incur a late fee of per month (or the maximum allowable under applicable law, if less), calculated on outstanding balances from the date such sums are due.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement by providing written notice to the other party at least days prior to the intended termination date. Upon termination, Consignee shall return unsold goods to Consignor within a commercially reasonable period not to exceed 30 days, unless otherwise agreed in writing.

Title, Risk, Insurance

Title to the goods shall remain with Consignor until sale to an end purchaser. Risk of loss or damage to the goods while in Consignee's possession shall remain with Consignor except to the extent caused by Consignee's negligence or willful misconduct. Consignee shall maintain reasonable insurance coverage for goods in its possession in an amount sufficient to cover the replacement value of the goods and shall provide proof of such insurance upon request.

Confidentiality

Each party shall keep confidential all proprietary business information of the other party learned in connection with this Agreement, including pricing, sales data, customer lists, and inventory records, and shall not disclose such information to third parties except as required by law or with the prior written consent of the disclosing party. This obligation shall survive termination of this Agreement for a period of three years.

Warranties, Indemnification and Limitation of Liability

Consignor represents and warrants that it has good and marketable title to the goods and that the goods are free of undisclosed liens, claims, and encumbrances. Consignor shall indemnify and hold harmless Consignee from any third-party claims relating to ownership, title, or pre-existing defects in the goods. Consignee shall indemnify and hold harmless Consignor for claims arising out of Consignee's negligent handling, storage, or sale of the goods. Neither party shall be liable to the other for consequential or punitive damages except in cases of gross negligence or willful misconduct.

Audit Rights and Records

Consignee shall maintain complete and accurate records relating to the consigned goods and sales. Consignor or its authorized representative may, upon reasonable notice and during regular business hours, inspect such records and audit sales and inventory to verify compliance with this Agreement. Discrepancies discovered in an audit that are material shall be corrected and any amounts due shall be remitted within 10 business days.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses listed below or to such other address as either party may designate in writing.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties expressly submit to the exclusive jurisdiction of the courts located in that state for any disputes arising under this Agreement.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification of this Agreement shall be effective unless set forth in a written instrument signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. The failure of either party to enforce any right shall not constitute a waiver of that right. The parties acknowledge that they have read and understand this Agreement and have the authority to execute it.
