Any disputes regarding payment, liens or performance shall be subject to the dispute resolution clause below.

The Parties agree to attempt good faith negotiation to resolve disputes arising under this Addendum. If unresolved, disputes shall be resolved by arbitration or litigation as agreed in the Purchase Agreement. This Addendum shall be governed by the laws of the State of without regard to conflict of law principles. This Addendum, together with the Purchase Agreement and incorporated exhibits, constitutes the entire agreement with respect to construction obligations and supersedes prior inconsistent oral or written agreements.
