Time is of the essence. Contractor shall commence and prosecute the Work diligently. Extensions of time shall be documented in writing and signed by both parties and shall be allowed only for causes beyond Contractor's control.

PERMITS, REGULATIONS & SITE CONDITIONS

Contractor shall obtain and pay for all permits, inspections and approvals required for the performance of the Work unless otherwise stated in writing. Contractor represents it is familiar with existing site conditions. Owner shall disclose latent conditions known to Owner.

INSURANCE, BONDS & INDEMNITY

Contractor shall maintain commercial general liability insurance, automobile liability, and workers' compensation as required by law, with limits not less than those stated below. Contractor shall name Owner as an additional insured on the commercial general liability policy for liabilities arising from the Work.

CHANGES & CHANGE ORDERS

Any change to the Scope of Work, Contract Price or Time of Completion shall be made only by a written Change Order signed by Owner and Contractor. Change Orders shall state the adjustment to price and time and shall be incorporated into this Agreement.

WARRANTY

Contractor warrants that materials and workmanship furnished under this Agreement will be free from defective workmanship and materials for a period of months from the date of Final Completion, unless otherwise stated in writing.

DISPOSALS, HAZARDS & DISCLOSURES

Owner represents known conditions at the property as of the Effective Date. Contractor shall promptly notify Owner in writing if hazardous materials or conditions are discovered. The parties acknowledge the following disclosures:

DEFAULT, REMEDIES & LIENS

If either party materially breaches this Agreement, the non-breaching party may pursue all remedies available at law or in equity, including specific performance, damages, and recovery of costs and attorney's fees as permitted by law. Contractor shall pay subcontractors and suppliers and shall not permit mechanics' or materialmen's liens to attach to the Property; Contractor shall, upon request, furnish lien waivers and releases.

TERMINATION

Owner may terminate this Agreement for cause if Contractor fails to correct substantial defaults after written notice and a reasonable opportunity to cure. Contractor may stop work or terminate if Owner fails to make payments when due, following written notice and an opportunity to cure. Upon termination, parties will account for work performed and payments due; Owner may complete the Work and charge Contractor for additional costs where Contractor is in default.

GOVERNING LAW, SEVERABILITY & ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state of . If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force. This Agreement, including any exhibits and Change Orders, constitutes the entire agreement between the parties and supersedes prior agreements and understandings.

NOTICES

All notices must be in writing and delivered to the addresses set forth above or to such other address as either party designates in writing. Notice is effective upon delivery by hand, certified mail, or other verifiable method.

MISCELLANEOUS PROVISIONS

Subcontracting: Contractor may engage subcontractors but remains responsible for their performance. Independent Contractor: Contractor is an independent contractor and not an agent or employee of Owner. Assignment: Neither party may assign this Agreement without the other's prior written consent, except that Contractor may assign to a successor in interest of substantially all its assets.
