Indemnity: Contractor shall indemnify, defend and hold harmless Owner and Owner's agents, employees and lenders from and against all claims, losses, damages, liabilities and expenses, including reasonable attorneys' fees, arising out of Contractor's performance of the Work, except to the extent caused by Owner's gross negligence or willful misconduct.

Warranties and Acceptance

Contractor warrants that materials and workmanship furnished under this Agreement shall be free from defects for a period of from date of substantial completion. Warranty shall not apply to defects caused by ordinary wear and tear, acts of third parties, or Owner's misuse.

Contractor shall ensure that all subcontractors and suppliers are paid and shall, upon progress and final payments, provide lien waivers reasonably acceptable to Owner. Contractor shall be responsible for removal of any liens arising from Contractor's failure to pay subcontractors or suppliers.

Delays, Default and Termination

Time is of the essence. Contractor shall provide a schedule and shall promptly notify Owner of any events likely to delay completion. In the event of Contractor's material breach, Owner may provide written notice specifying the breach and a reasonable cure period not less than 10 days; if uncured, Owner may terminate this Agreement and pursue damages. Likewise, Contractor may suspend or terminate for Owner's material failure to pay when due after ten (10) days' written notice.

Miscellaneous

Entire Agreement: This Agreement, including any attachments and Change Orders, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral.

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Contractor may assign proceeds to finance the Work.
