What the Construction Architectural Agreement Covers

The Construction Architectural Agreement is a legally binding contract that sets the scope, responsibilities, deliverables, schedule, and payment terms between an owner and an architect for construction projects. It typically defines services such as schematic design, design development, construction documents, bidding assistance, and construction administration, and it allocates liability, intellectual property, insurance, and dispute resolution mechanics. Parties use it to manage expectations, control change orders, and set milestones tied to compensation. This template addresses typical U.S. contracting norms and can be adapted for state-specific requirements and project scale.

Why a Clear Agreement Matters for Your Project

Use a Construction Architectural Agreement to clarify deliverables, reduce disputes, and document payment triggers and approval protocols. Clear contract terms protect design intent, control cost escalation through change order procedures, and create enforceable responsibilities for schedule adherence and warranty obligations.

Why a Clear Agreement Matters for Your Project

Who Typically Prepares and Signs This Agreement

Who should complete this agreement and when: owners, architects, design-build firms, and project managers use it at project initiation or before schematic design begins.

  • Owners – set expectations, payment schedule, and acceptance criteria for architect services.
  • Architects – document scope, limits of services, deliverables, and professional responsibility allocations.
  • Contractors and subcontractors – rely on drawings and specs defined in the agreement for bidding and construction.

It is also appropriate for remodels, phased work, or when a contractor relies on architectural deliverables for bidding and construction.

Sequential Steps to Complete and Execute the Agreement

Follow these sequential steps to complete and execute a Construction Architectural Agreement properly and avoid common execution errors.

  • 01
Prepare Draft: Assemble scope, exhibits, schedule, and fee terms.
  • 02
Review Internally: Legal and PM review for risks and omissions.
  • 03
Negotiate Changes: Document redlines and agreed amendments.
  • 04
Execute & Record: Sign, notarize if required, circulate final copies.

Core Clauses Every Agreement Should Include

Core elements in a professional Construction Architectural Agreement ensure clear scope, schedules, compensation, liability allocation, deliverable standards, and dispute resolution to reduce project risk.

Scope of Services

Define specific architectural phases, deliverables, revisions, and excluded work; include deliverable formats (BIM, CAD, sealed drawings) and approval milestones tied to payments, plus required coordination with engineers and permitting tasks.

Compensation

Describe fee structure (lump sum, hourly, percentage), invoicing schedule, reimbursable expenses, retainers, procedures for change order fees, and remedies for late payment including interest or suspension rights.

Schedule

Set milestones, delivery dates, and completion criteria; include time extensions for force majeure, permit delays, or client-directed scope changes and consequences for missed dates including liquidated damages when negotiated.

Liability & Insurance

Allocate professional liability, indemnities, limits of liability, required insurance types and limits (professional liability, general liability, worker's compensation), and procedures for claims notification and defense.

Deliverable Standards

Specify drawing scales, document formats, naming conventions, required stamp/seal practices, review cycles, and archival copies for record drawings delivered at project closeout and BIM model as-built coordination when applicable.

Dispute Resolution

Identify governing law, mediation and arbitration procedures, jury waiver if desired, venue, and how claims for additional compensation or schedule relief will be resolved, including interim injunctive relief rights.

Set Up an Online Signature and Routing Workflow

Configure an online workflow to collect signatures, route approvals, and attach required exhibits automatically for efficient project management.

Workflow Configuration Field Name and Purpose Configuration
Signer Authentication Method Selection for Document Security Email, SMS code, or knowledge-based authentication options.
Field Placement and Required Status for Signers Signature, date, initials, and conditional fields as needed.
Document Routing Order and Notifications Sequential signer order or parallel routing with email alerts.
Attachment and Exhibit Management Rules Attach plans, permit exhibits, and reference documents; enforce file size limits.

How Electronic Execution Typically Works

Typical electronic execution workflow for the agreement, from upload through final delivery and audit trail capture for compliance and records.

  • Upload Document: Upload PDF or DOCX with all exhibits.
  • Place Fields: Add signature, date, and initial fields where required.
  • Authenticate Signers: Choose email, SMS, or KBA depending on risk.
  • Complete Audit: System records timestamps, IPs, and action history.

Technology and Security Considerations for eSigning

Use these platform and integration options to manage document exchange, authentication, storage, and project collaboration with construction software.

  • Supported Formats: PDF, DOCX, and BIM-supporting attachments.
  • Integrations: Procore, NetSuite, Salesforce, Microsoft 365 integrations.
  • Security: TLS 1.2 and 1.3 in transit; AES-256 at rest.

Key Risks and Contractual Penalties to Watch

Payment Disputes: Delays, liens, and work stoppage risk.
Scope Creep: Unapproved changes increase costs.
Design Liability: Professional negligence claims possible.
Missing Permits: Stop-work orders and fines.
Invalid Signatures: Execution defects may void clauses.
Late Recordkeeping: Evidence loss hampers claims defense.

Common Preparation and Execution Challenges

  • Unclear scope language that omits deliverables, leading to disputes over who is responsible for permit coordination, engineering revisions, or code compliance adjustments during construction.
  • Inadequate change order procedures that lack approval thresholds, pricing methods, or timelines, causing payment delays and contentious claims for additional compensation.
  • Failure to define deliverable formats and model handover requirements results in rework, interoperability issues, and contractor confusion at bidding and construction stages.
  • Using non-compliant e-signature methods without consent disclosures or adequate authentication can jeopardize enforceability under ESIGN or state laws.

Practical Best Practices to Reduce Disputes and Delays

Adopt these best practices to reduce risk and speed approvals for Construction Architectural Agreements across projects.

Use exhibits for scope clarity
Attach numbered exhibits listing tasks, deliverables, and acceptance criteria. Use a schedule of values and an explicit list of excluded services. Exhibits reduce ambiguity and make change orders auditable, limiting disputes and supporting milestone-based payments.
Define change order procedures clearly and promptly
Specify submission format, approval authority, pricing methodology, and a maximum response time. Include provisional pricing mechanics for urgent work and require written acceptance before work and invoicing continues to prevent disputed charges.
Use aligned schedules and milestone-based deliverables
Tie payments to specific deliverables with clear acceptance tests and a reasonable cure period. Include coordinated critical path milestones and define who verifies completion to avoid overlapping responsibilities and delayed payments.
Preserve audit-ready records and final as-built deliverables
Keep signed PDFs or certified copies, versioned CAD/BIM files, and correspondence logs. Store records in secure systems with tamper-evident audit trails and defined retention schedules to support claims, warranties, and regulatory inspections.
