What a Construction Builders Agreement Covers

A Construction Builders Agreement is a written contract between the project owner and a contractor that sets out scope, price, schedule, payment terms, change order procedures, warranties, insurance and dispute resolution for a construction project. It clarifies responsibilities for general contractors, subcontractors and suppliers, identifies start and substantial completion dates, and establishes billing milestones, retainage and final acceptance criteria. Well-drafted agreements reduce ambiguity about work quality, timelines, and cost adjustments and serve as the primary document for resolving claims, coordinating inspections, and enforcing mechanic’s lien or bond rights if disputes arise.

Why a Clear Builders Agreement Matters for Projects

A focused Construction Builders Agreement reduces cost overruns, limits schedule disputes, and defines remedies for defects or delays. It protects both owner and contractor by assigning risk, clarifying payment triggers, and creating an evidentiary record for claims and lien rights.

Why a Clear Builders Agreement Matters for Projects

Who Typically Completes a Builders Agreement

The agreement is completed by the contracting parties and their representatives who have operational or financial responsibility on the project.

  • General contractors and construction managers who will perform or oversee work and need to document responsibilities and payment flow.
  • Project owners or owner representatives who must define scope, acceptance criteria, insurance and payment timing.
  • Subcontractors and suppliers who may be referenced or attached via exhibits and require clear pass-through terms.

Signatures should be provided by persons with authority to bind each entity and by any sureties or lenders required by the agreement.

Core Elements to Include in a Professional Agreement

A complete Construction Builders Agreement organizes project terms so disputes are minimized and performance can be measured against objective milestones.

Scope of Work

Detailed description of tasks, deliverables, specifications and referenced drawings so the contractor’s obligations are unambiguous and measurable against inspections and acceptance tests.

Payment Terms

Contract price, allowances, retainage percentage, invoice schedule, progress payment triggers, and final payment conditions including certificate of substantial completion requirements.

Schedule

Start date, critical milestones, milestone acceptance criteria, liquidated damages or delay provisions, and procedures for extension-of-time requests and approvals.

Change Orders

Written change order process, pricing method for extras or deductions, approval authority, and how time extensions affect the schedule and payment.

Warranties & Defects

Express warranty periods, defect correction obligations, notice and cure procedures, and requirements for warranty documentation at closeout.

Insurance & Indemnity

Required insurance lines and limits, additional insured endorsements, waiver of subrogation, bonds, and indemnification scope for third-party claims.

  • Not verifying contractor licensing, insurance certificates, and bond requirements before permitting work to start.
