RECITALS

WHEREAS, Owner is the owner of the real property and improvements commonly known as the Project Address and desires construction services in connection with the Project; and

WHEREAS, Builder is duly licensed, bonded and experienced in the performance of construction, renovation and related services and represents that Builder has the skill, personnel and resources to perform the work described herein; and

WHEREAS, the parties desire to set forth the terms and conditions under which Builder will perform construction services for Owner at the Project in accordance with the Scope of Work and Payment Terms set forth below.

All invoices are due within days of receipt unless otherwise stated. Owner's failure to timely pay undisputed amounts constitutes a default allowing Builder to suspend work after seven (7) days' written notice.

CONFIDENTIALITY

Each party shall hold in confidence all non-public information received from the other party in connection with this Agreement, shall not use such information except to perform obligations under this Agreement, and shall not disclose such information to third parties without prior written consent, except as required by law. Confidential information does not include information that is or becomes publicly known other than through a breach of this clause, or information independently developed without reference to the other party's confidential information.

INSURANCE AND INDEMNITY

Builder shall maintain, at Builder's expense, commercial general liability insurance, workers' compensation as required by law, and automobile liability insurance with limits customary for projects of similar scope. Builder shall indemnify and hold Owner harmless from claims, liabilities and costs arising from Builder's negligent performance of work, except to the extent caused by Owner's negligence or willful misconduct.

NOTICES

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including the Scope of Work and any attachments executed by the parties, constitutes the entire agreement between Owner and Builder concerning the Project and supersedes all prior negotiations, representations and agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.

ADDITIONAL PROVISIONS

Subcontracting: Builder may subcontract portions of the work, provided Builder remains responsible for performance and compliance with this Agreement and obtains required insurance and licenses for subcontractors.

Change Orders: Any changes to the Scope of Work, price or schedule shall be documented in a signed change order executed by both parties prior to performance of the changed work.
