CONSTRUCTION CONCRETE WORK AGREEMENT

This Construction Concrete Work Agreement (the "Agreement") is made and entered into by and between:

RECITALS

WHEREAS, Owner requires concrete construction services for the Project described above, including but not limited to excavation, formwork, placing, finishing and curing of cast-in-place concrete; and

WHEREAS, Contractor represents that it is duly licensed, experienced and equipped to perform concrete work in accordance with applicable codes, standards and the Project specifications; and

WHEREAS, the parties desire to set forth their respective rights and obligations regarding the performance, payment and completion of the concrete work.

SCOPE OF WORK

Contractor shall furnish all labor, materials, equipment and supervision necessary to perform and complete the concrete work described below in accordance with the Project specifications, drawings and applicable codes. Specific items to be provided include but are not limited to:

PAYMENT TERMS

Late payment: Unpaid amounts shall bear interest at the rate of or the maximum permitted by law, plus reasonable costs of collection.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within days after written notice. Termination for convenience by Owner requires days' written notice and payment for work performed to date plus demobilization costs.

CHANGE ORDERS

All changes to the Scope of Work or Contract Sum shall be made only by written change order signed by both parties stating the change in work, price adjustment (if any) and adjustments to the schedule. Contractor shall not proceed with changed work absent a signed change order except as otherwise authorized in writing by Owner.

WARRANTY, INSPECTION AND ACCEPTANCE

Contractor warrants that materials and workmanship shall be free from defects for a period of from date of final acceptance. Acceptance shall be conditional on testing results and inspection. Owner shall notify Contractor of nonconforming work within ten (10) days of discovery.

INSURANCE & INDEMNITY

Contractor shall maintain commercial general liability, workers' compensation and automobile liability insurance in amounts customary for the scope of work. Contractor shall indemnify and hold harmless Owner from and against claims, damages and liabilities arising from Contractor's negligent performance, except to the extent caused by Owner's negligence.

CONFIDENTIALITY

Each party shall maintain the confidentiality of proprietary information received from the other party in connection with the Project and shall not disclose such information except to those employees, subcontractors or consultants with a need to know, provided such recipients are bound by confidentiality obligations no less protective than those set forth herein. Confidential information does not include information that is publicly available, already known to the recipient prior to disclosure, or independently developed.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, together with any referenced drawings, specifications and approved change orders, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral. No amendment shall be binding unless executed in writing by both parties.
