CONSTRUCTION CONTRACT AGREEMENT

This Construction Contract Agreement (Agreement) is made and entered into as of Effective Date: by and between Owner Name: Owner Address: and Contractor Name: Contractor Address: Contractor License No.: (collectively, the Parties).

RECITALS

WHEREAS, Owner desires to have certain construction and related services performed at the project location described below; and

WHEREAS, Contractor represents that Contractor possesses the necessary skill, licenses, insurance and experience to perform the work in accordance with the terms and conditions of this Agreement; and

WHEREAS, the Parties desire to set forth the terms and conditions under which Contractor will perform and Owner will pay for such work.

NOW THEREFORE

In consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

1.1 "Contract Documents" means this Agreement, together with the Drawings, Specifications, Addenda, approved Change Orders and other documents listed herein. 1.2 "Work" means all labor, materials, equipment and services required to complete the construction described in the Contract Documents.

2. SCOPE OF WORK

Contractor shall provide all labor, materials, equipment and supervision necessary to perform and complete the Work described in the Scope of Work below in accordance with the Contract Documents.

3. CONTRACT PRICE AND PAYMENT

3.1 Contract Price. Owner shall pay Contractor for performance of the Work the total sum (Contract Price) of: subject to additions and deductions for Change Orders as provided below.

3.2 Payment Schedule. Payments shall be made as follows: Progress payments upon Contractor's Applications for Payment based on work performed and materials suitably stored, less retainage of % until Substantial Completion. Final payment shall be made upon final completion, acceptance and receipt of all required waivers and releases.

5. CHANGE ORDERS

5.1 No change in the Work, Contract Price or Time shall be binding unless set forth in a written Change Order signed by Owner and Contractor. The Change Order will describe the change, the adjustment to Contract Price and/or Time, and any other terms.

6. LIQUIDATED DAMAGES

If Contractor fails to achieve Substantial Completion by the date specified, Owner shall be entitled to recover liquidated damages in the amount of per calendar day, which the Parties agree is a reasonable estimate of Owner's damages and not a penalty.

7. SUBCONTRACTORS AND EMPLOYEES

Contractor shall be responsible for the acts and omissions of its subcontractors and their employees. Contractor shall obtain waivers of lien and releases from subcontractors as a condition to progress and final payments.

8. INSURANCE AND BONDS

Contractor shall maintain insurance coverages and limits of liability customary for the size and type of the Work, including Commercial General Liability with combined single limit of not less than . Contractor shall provide certificates of insurance and require subcontractors to carry similar insurance.

9. INDEMNIFICATION

To the fullest extent permitted by law, Contractor shall indemnify, defend and hold harmless Owner, its affiliates and their respective officers, directors and agents from and against all claims, damages, losses and expenses, including reasonable attorneys' fees, arising out of or resulting from Contractor's performance of the Work, provided that such claim is caused in whole or in part by any negligent act or omission of Contractor, subcontractors or anyone directly or indirectly employed by them.

10. WARRANTIES

Contractor warrants that the Work shall be free from defects in workmanship and materials for a period of months from the date of final completion. Contractor shall, at its expense, promptly repair or replace defective Work discovered during the warranty period.

11. COMPLIANCE WITH LAWS

Contractor shall comply with all applicable laws, codes, ordinances, regulations and orders of public authorities having jurisdiction and shall obtain and pay for all required permits and inspections.

12. TERMINATION

12.1 Owner may terminate this Agreement for cause if Contractor fails to cure a material breach within seven (7) days after written notice. 12.2 Owner may terminate for convenience upon written notice; in such case Owner shall pay Contractor for Work performed and reasonable demobilization costs.

13. DISPUTE RESOLUTION

Claims, disputes or controversies arising out of or related to this Agreement shall first be subject to good faith negotiation between authorized representatives. If unresolved within thirty (30) days, the dispute shall be submitted to binding arbitration before a single arbitrator in the county where the Project is located, administered under the rules agreed by the Parties. The arbitrator's award shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

14. NOTICES

All notices shall be in writing and delivered by personal delivery, nationally recognized overnight courier, or certified mail, return receipt requested, to the addresses set forth below or to such other address as a Party designates by notice.

15. AMENDMENTS; WAIVER

This Agreement may be amended only by a written instrument signed by both Parties. No waiver by either Party of any breach shall be effective unless in writing, and no waiver shall be construed as a waiver of any subsequent breach.

16. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state where the Project is located, without regard to conflict of law principles. This Agreement, together with the Contract Documents, constitutes the entire agreement between the Parties and supersedes all prior negotiations and agreements. If any provision is held invalid, the remaining provisions shall remain in full force and effect.

17. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.
