Time is of the essence. Contractor shall notify Owner in writing of any conditions that may delay completion. Excusable delays include acts of God, strikes, shortages, or governmental actions; Contractor shall provide written notice of delay and new estimated completion within seven (7) days.

Contractor shall obtain and pay for all required permits, inspections, and approvals necessary for performance of the Work unless otherwise agreed in writing. Responsibility for permit procurement:

Change Orders

All changes to the Scope of Work, Contract Price, or Schedule must be made by a written Change Order signed by both Owner and Contractor. No oral modification is effective. Owner acknowledges the Change Order procedure:

Insurance, Bonds & Subcontractors

Contractor shall maintain commercial general liability insurance, workers' compensation as required by law, and automobile liability insurance. Contractor shall provide certificates upon request and name Owner as additional insured for work on the Property where available.

Warranties

Contractor warrants that all labor and materials supplied under this Contract will be free from defects for a period of from the date of final payment, except for defects arising from Owner's misuse. Manufacturer warranties shall be assigned to Owner when transferable.

Liens, Releases & Final Payment

Contractor shall promptly pay all subcontractors, laborers, and suppliers. Final payment shall be conditioned upon receipt by Owner of sworn lien releases or unconditional waivers from Contractor and its subcontractors, and satisfactory completion and cleanup of the Work.

Indemnification, Risk & Remedies

Contractor shall indemnify, defend, and hold harmless Owner from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Contractor's performance of the Work, except to the extent caused by Owner's negligence or willful misconduct. Owner shall carry property insurance as appropriate and shall not be liable for loss or damage resulting from causes beyond Contractor's control.

Default & Termination

If either party materially defaults in performance and fails to cure within fourteen (14) days after written notice, the non-defaulting party may terminate this Contract and pursue available remedies including damages and specific performance. Termination shall not relieve the defaulting party of liability for breach.

Governing Law & Dispute Resolution

This Contract shall be governed by the laws of the State of without regard to conflict of law principles. Parties shall first attempt to resolve disputes by good faith negotiation and mediation. If unresolved, disputes shall be resolved by binding arbitration in the county where the Property is located, pursuant to the parties' agreement to arbitrate.

All notices required or permitted under this Contract shall be in writing and delivered to the addresses below by hand, certified mail, or courier.

Miscellaneous

This Contract, including all attachments and duly executed Change Orders, constitutes the entire agreement between the parties and supersedes prior negotiations and agreements. No waiver shall be effective unless in writing and signed by the waiving party. If any provision is held unenforceable, the remainder shall remain in effect.
