By submitting this form the Borrower/Contractor certifies that all items listed above are true, correct and for work performed or materials furnished to the Project, that no portion of the requested funds have been paid previously from the construction disbursement account, and that all invoices and lien waivers necessary to support payment have been provided to the Lender as required by the loan documents. Lender may condition any disbursement on additional documentation, inspection, or approvals.

Representations, Warranties & Authorizations

The undersigned represents and warrants that the funds requested will be used solely for costs and obligations directly related to the Project and in accordance with the Loan Agreement and Construction Budget. The Borrower and Contractor shall defend, indemnify and hold harmless the Lender and the Bank from any claims arising from misuse of disbursed funds, including claims by subcontractors, suppliers or taxing authorities. Lender may withhold or adjust disbursements for claims, defective work, incomplete work, or material breaches of the Loan Agreement.

The Bank is authorized to establish and maintain the Disbursement Account identified above and to accept instructions for payments only from the Lender or other parties authorized in writing by the Lender. The account shall be used exclusively for Project disbursements and shall be subject to lien and control provisions set forth in the loan documents.
