SCOPE OF WORK

The Contractor proposes to furnish all labor, materials, equipment and supervision necessary to complete the installation described below in accordance with applicable codes, industry standards and the bid documents.

ITEMIZED BID

Provide unit descriptions and pricing. All amounts are in U.S. dollars and exclude applicable sales or use taxes unless stated.

PAYMENT TERMS

The Owner shall pay the Contractor the Total Bid Amount in accordance with the schedule below. All payments are due within the stated payment period from the Contractor's invoice date. The Contractor may suspend performance for nonpayment in accordance with this Agreement.

TERM AND TERMINATION

This Bid, if accepted by the Owner, shall form the basis of a work agreement as set forth below. The parties agree to the following term and termination provisions.

Either party may terminate for material breach if the breaching party fails to cure within the Notice Period. Owner may terminate for convenience upon payment of Contractor's reasonably documented costs and a reasonable profit on work performed to date.

CHANGE ORDERS

All changes to the Scope of Work shall be made only by written Change Order signed by both parties. Change Orders shall describe the change, the adjustment to the contract price, and any change to the schedule. No oral directives shall be binding.

INSURANCE, LICENSES AND COMPLIANCE

CONFIDENTIALITY

Each party shall keep confidential all proprietary information disclosed in connection with this Bid and any resulting agreement, and shall not disclose such information to third parties except to its employees, consultants or lenders who have a need to know and who are bound to maintain confidentiality. Confidential information does not include information that (a) is or becomes publicly known other than by breach, (b) was rightfully received from a third party without restriction, or (c) is independently developed without use of the other party's confidential information.

WARRANTY

Contractor warrants that labor and materials furnished under this Bid will be free from defects for a period of from the date of substantial completion. This warranty is limited to repair or replacement of defective work and does not cover damage caused by misuse, abuse, or normal wear.

GOVERNING LAW

This Bid and any resulting agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Bid, together with any attachments, exhibits and accepted Change Orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. Any amendment must be in writing and signed by both parties.
