CONSTRUCTION NEW BUILD CONTRACT

This Construction New Build Contract ("Contract") is made as of by and between Client Name: and Contractor Name: .

WHEREAS

1. Client engages Contractor to perform construction services for the new build project to be located at (the "Project").

2. Contractor represents that Contractor possesses all licenses, experience, personnel, equipment and financial capacity necessary to perform the work described herein and agrees to furnish labor, materials, equipment and supervision in accordance with this Contract.

3. The parties desire to set forth the terms and conditions under which Contractor will perform the Work and Client will pay Contractor for such Work.

SCOPE OF WORK

PAYMENT TERMS

(Retainage percentage to be withheld from progress payments and released upon final completion and acceptance.)

Any periodic payment not received within days of the due date shall accrue a late fee equal to percent per month on the outstanding balance, plus all collection costs and reasonable attorney fees.

Either party may terminate this Contract for material breach if the breaching party fails to cure such breach within days after written notice. Either party may terminate for convenience upon providing days' prior written notice. Upon termination, Contractor shall be entitled to payment for Work properly performed and documented to the date of termination, less setoffs.

CONFIDENTIALITY

Contractor and Client each agree that all non-public information, plans, specifications, pricing, and other proprietary materials disclosed in connection with the Project shall be held in confidence and shall not be used or disclosed to third parties except as required to perform the Work or as required by law. This obligation shall survive termination or expiration of this Contract for years.

INSURANCE, PERMITS AND COMPLIANCE

Responsibility for Permits and Approvals: Contractor shall obtain and pay for all required permits, inspections and approvals necessary for the performance of the Work, except for those permits explicitly identified as Client responsibility below.

CHANGES / CHANGE ORDERS

Any change in the Work shall be documented by a written change order signed by both parties setting forth the adjustment to the Contract Sum and/or the schedule. No change order shall be binding unless signed in writing by an authorized representative of Client and Contractor.

INDEMNIFICATION

Contractor shall indemnify, defend and hold harmless Client and Client's agents and employees from and against all claims, damages, losses and expenses, including reasonable attorney fees, arising out of or resulting from the performance of the Work, to the extent caused by the negligent acts or omissions of Contractor, its subcontractors or anyone directly or indirectly employed by them.

GOVERNING LAW AND DISPUTE RESOLUTION

This Contract shall be governed by and construed in accordance with the laws of the State of . Any dispute arising under this Contract shall be submitted to binding arbitration if the parties mutually agree in writing; otherwise, disputes shall be resolved in the state or federal courts located in that State.

ENTIRE AGREEMENT

This Contract, including all exhibits, attachments and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations and representations, whether written or oral. No amendment or modification shall be effective unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

Notices required under this Contract shall be in writing and delivered to the addresses set forth below or to such other address as a party designates by written notice. If any provision of this Contract is held invalid, the remaining provisions shall remain in full force and effect.
