CONSTRUCTION PANEL SHOP DRAWINGS SUBMITTAL AGREEMENT

RECITALS

WHEREAS, Contractor has entered into a principal construction contract for the Project and requires fabrication and delivery of prefabricated panels and associated components; and

WHEREAS, Fabricator has expertise, facilities, and responsibility for preparing and submitting shop drawings, material submittals, calculations, and related fabrication data for Contractor's review and approval; and

WHEREAS, the parties desire to set forth the procedures, scope, schedule, payment, responsibilities for corrections, and legal provisions governing the submission, review, approval, and use of Construction Panel Shop Drawings.

FABRICATION, TOLERANCES & COORDINATION

Fabrication Standards: Fabricator shall perform fabrication in accordance with the Contract Documents, industry standards, and the specific material specifications submitted. All tolerances, connections, welds, and finishes must conform to the submitted shop drawings and approved specifications. Fabricator shall verify all field dimensions prior to fabrication and shall be responsible for fit and coordination with adjoining trades.

PAYMENT TERMS

Late Payment: Invoices not paid within days of invoice date shall accrue interest at compounded monthly. Contractor may withhold payment for deficiencies in submittals or nonconforming work until corrected.

Termination for Convenience: Either party may terminate this Agreement upon days' written notice. Termination for Cause: Either party may terminate for material breach if the breaching party fails to cure within 10 days of written notice or within a reasonable period where immediate cure is not feasible.

RESPONSIBILITIES FOR CORRECTIONS

Fabricator shall correct and resubmit any portions of the shop drawings rejected or marked for revision without additional charge where corrections are due to Fabricator's error or omission. Re-submittal requiring review beyond two iterations due to Fabricator error may be subject to additional charges only with prior written authorization from Contractor.

CONFIDENTIALITY

Each party shall treat all drawings, calculations, pricing, and other technical or business information marked or reasonably understood to be confidential as proprietary and shall not disclose such information to third parties except to perform obligations under this Agreement or as required by law. Confidential information shall remain the property of the disclosing party and shall be returned or destroyed upon written request.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Project is located. Any dispute arising under this Agreement shall be subject to the exclusive venue of the courts of that jurisdiction unless the parties otherwise agree in writing.

Entire Agreement: This Agreement, including all attached shop drawings and approved submittals, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, or agreements, whether written or oral. Amendments to this Agreement shall be effective only if made in writing and signed by authorized representatives of both parties.

OTHER PROVISIONS

Insurance & Indemnity: Fabricator shall maintain adequate insurance and indemnify Contractor for liabilities arising from Fabricator's negligence in preparation of shop drawings or fabrication. Warranties: Fabricator warrants that fabricated panels shall conform to approved shop drawings and shall be free from defects in materials and workmanship for a period consistent with the prime contract.
