WHEREAS

WHEREAS, Claimant has furnished labor, materials, equipment or services in connection with the Project described above and has a right to claim a mechanic's, materialman's or construction lien, stop notice or bond claim under applicable law for amounts due for such work; and

WHEREAS, Payor intends to make a partial payment to Claimant and the parties desire to document a partial waiver and release of lien rights to the extent of payment received and applied as set forth below.

WHEREAS, the parties acknowledge and agree that this instrument affects lien rights and is executed with the intent that it be binding and enforceable under the laws applicable to the Project.

Certification and Release: Upon receipt and application of the payment described above, and to the extent of the payment actually applied to the Project, Claimant does hereby waive and release any and all lien, stop notice, or bond rights, causes of action and claims for labor, services, equipment and materials furnished to the Project through the period set forth above. If a Conditional Waiver is selected, this waiver and release is expressly conditioned on final payment clearing all banking and settlement processes; if payment fails to clear, this instrument shall be null and Claimant's rights are expressly reserved to the extent payment has not been honored.

Reservation of Rights: Except as expressly waived and released in this instrument to the extent of the payment described herein, Claimant expressly reserves all other rights, claims and remedies for amounts not paid and for work performed after the period set forth above.

CONFIDENTIALITY

The parties agree that the terms and payment information set forth in this Partial Lien Waiver shall be treated as commercial information and, except as required by applicable law or to enforce rights under this instrument, shall not be disclosed to third parties without prior written consent from the other party.

GOVERNING LAW

This Partial Lien Waiver shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT
