CONFIDENTIALITY

Except as required for submission to public authorities, each Party shall keep confidential all nonpublic information disclosed by the other Party that is clearly designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not be disclosed except as necessary to obtain permits or as required by law.

GOVERNING LAW

This Agreement and any disputes arising out of or related to it shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles.

ENTIRE AGREEMENT

This document, together with any referenced attachments, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both Parties.
