What a Construction Pre-Lien Letter Is

A Construction Pre-Lien Letter is a formal written notice from a contractor, subcontractor, or supplier to an owner, general contractor, or lender advising that payment is overdue and that a construction lien may be filed if the debt is not resolved. The letter typically summarizes the unpaid amount, the work or materials provided, contract references, and a demand for payment within a specified timeframe. It serves both as a last-step collection effort and, in many states, as a procedural precursor that preserves lien rights or improves the chances of voluntary payment.

Why a Pre-Lien Letter Matters

A properly drafted pre-lien letter clarifies the debt, documents the claimant’s efforts to collect, and can prompt payment without the expense of filing a lien or litigation. It often improves negotiation leverage while preserving statutory rights when timed to state notice requirements.

Why a Pre-Lien Letter Matters

Who Typically Prepares and Receives a Pre-Lien Letter

Contractors, subcontractors, suppliers, and equipment lessors commonly prepare pre-lien letters; recipients include owners, general contractors, property managers, and lenders.

  • General Contractors — Send or receive notices when a subcontractor or supplier fails to pay, often coordinating final project payment.
  • Subcontractors & Suppliers — Use pre-lien letters to assert payment claims while preserving lien rights under state law.
  • Property Owners / Lenders — Receive the notice and may need to investigate payment status before releasing funds.

Use the letter as a documented step in the collection timeline and keep copies for potential lien filings or dispute resolution.

Step-by-Step: Drafting and Sending a Pre-Lien Letter

Follow a consistent sequence to preserve rights and maintain documentation; adapt timing to the state’s notice and lien filing rules.

  • 01
Identify Parties: Confirm claimant and recipient legal names and addresses.
  • 02
Document Debt: Attach invoices, change orders, and delivery receipts supporting the amount.
  • 03
Set Deadline: State a clear cure date in MM/DD/YYYY format.
  • 04
Send & Record: Send by certified mail or eDelivery and retain proof of service.

Essential Elements of a Professional Pre-Lien Letter

A complete pre-lien letter combines factual detail with procedural clarity so recipients can verify claims and respond promptly.

Header

Clear sender and recipient identification, date, and project address to ensure the notice is directed to the correct party and jurisdiction.

Statement of Work

Concise description of services or materials provided, including relevant contract or PO references to show the basis for the claim.

Amount Owed

Itemized dollar amount showing unpaid invoices, retainage, or change orders and a running total so the recipient can reconcile accounts.

Demand for Payment

A firm but factual demand specifying the payment due date and acceptable payment methods, plus contact details for questions.

Legal Notice

Plain-language statement that failure to pay may lead to a lien filing under applicable state law and enforcement actions.

Attachments

Include supporting invoices, notices previously sent, delivery tickets, and a summary ledger to substantiate the debt.

Where to Send or File a Pre-Lien Letter

Choose delivery and filing destinations that align with state statute and contractual requirements; maintain verifiable proof of service.

  • Owner: Send to the property owner’s official address.
  • General Contractor: Deliver to the GC listed on the contract.
  • Lender: Notify the construction lender when funds are held by a bank.
  • County Recorder: File the lien, not the pre-lien letter, at the recorder if filing becomes necessary.

Digital Signing and eSubmission Considerations

Electronic delivery and eSignatures are commonly used for pre-lien letters, but ensure the method meets legal and contractual requirements.

  • Authentication: Use email, SMS, or stronger MFA
  • Audit Trail: Capture timestamps and IP addresses
  • File Formats: PDF is preferred

Retain signed copies and delivery receipts; platforms that support audit trails and tamper-evident PDFs align with ESIGN and UETA principles for enforceability.

How to Configure an Online Pre-Lien Letter Workflow

Set up fields and routing so the letter, attachments, and signature evidence are captured in a single, auditable package.

Field Mapping Claimant name | Recipient name
Signature Field Signer name, date required
Attachment Requirement Invoice and delivery proof
Routing Order Claimant -> Recipient -> Records
Authentication Email link or SMS code

Typical Timing and Deadlines to Track

Timing is critical: deliver pre-lien letters early enough to preserve rights and to meet any state-specific prerequisite notice windows before filing a lien.

Send Promptly:

After initial nonpayment is confirmed

Cure Period:

Specify a clear deadline for payment

Before Lien Filing:

Issue prior to statutory lien filing deadline

Proof of Service:

Retain delivery receipts

Follow-Up:

Document subsequent calls and notices

Key Milestones in the Pre-Lien to Lien Workflow

A concise milestone sequence helps you track pre-lien delivery, statutory deadlines, and next steps if payment does not arrive.

Notice Sent

Deliver pre-lien letter and keep proof of delivery.

02

Cure Period Ends

If unpaid, prepare documents for filing.

03

Common Mistakes When Preparing a Pre-Lien Letter

  • Using incorrect legal names for claimant or recipient which can invalidate service or delay enforcement.
  • Failing to attach supporting invoices or delivery receipts that prove the amount claimed and work performed.
  • Missing state-specific notice windows or statutory prerequisites before attempting to file a lien.
  • Relying on informal delivery without retaining verifiable proof of service or e-delivery audit trails.

Risks and Consequences of an Incorrect Letter

Loss of Rights: Missed filing window
Invalid Service: Improper party named
Legal Costs: Increased attorney fees
Counterclaims: Recipient disputes accuracy
Delay: Payment recovery slowed
Compliance: Potential statutory penalties

Practical Examples

Two brief scenarios illustrate how pre-lien letters are used to prompt payment or to prepare for lien filing while preserving legal options.

Contractor Notice

A subcontractor sends a detailed pre-lien letter after 45 days of nonpayment

  • The recipient reviews attached invoices
  • The matter resolves by partial payment and a negotiated schedule avoiding lien filing.

Supplier Notice

A supplier issues a pre-lien letter with delivery tickets and terms

  • The owner questions quantity delivered
  • After inspecting records, the parties agree to adjust the invoice and settle.
