WHEREAS, Client seeks construction services for the improvements described in this Proposal and desires to engage Contractor to perform such work on the terms set forth herein.

All deviations from the Scope of Work shall be authorized by written change order executed by both parties. Change orders shall include adjustments to contract sum and time where applicable. Verbal authorizations do not bind the parties.

Insurance, Permits & Compliance

Contractor shall procure and maintain at its expense all required licenses, permits and insurance coverages, including commercial general liability and workers' compensation, in amounts customary for projects of this size. Contractor shall furnish certificates of insurance upon request prior to mobilization.

Contractor shall comply with all applicable laws, regulations and building codes in executing the work.

Warranties & Remedies

Contractor warrants that workmanship shall be free from material defects for a period of from the date of final acceptance. Manufacturer warranties shall be assigned to Client where transferable.

Client's exclusive remedies for breach of warranty shall be repair or replacement of defective work, subject to inspection and reasonable opportunity to cure.

Either party may terminate for convenience upon days' prior written notice. Termination for cause may be effected for material breach following a day cure period. Upon termination, Contractor shall be entitled to payment for work performed and documented costs reasonably incurred through the termination date, subject to setoff for damages.

Confidentiality

Each party shall maintain in confidence all proprietary or non-public information disclosed by the other party in connection with this Proposal and the Project. Confidential information shall not include information that is or becomes publicly known without breach of this provision, or is rightfully received from a third party without confidentiality obligations. Disclosure required by law shall be made only after prompt notice to the disclosing party where practicable.

Governing Law

This Proposal and any subsequent agreement formed from acceptance hereof shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement

This Proposal, together with any attachments, plans, specifications and written change orders executed by the parties, contains the entire agreement between the parties regarding the Project and supersedes all prior agreements and understandings, oral or written. No amendment shall be effective unless in writing and signed by both parties.
