WHEREAS, Client desires to engage Contractor to perform roofing services at the Project Address described above in accordance with the terms and conditions set forth in this Proposal and any incorporated documents; and

Either party may terminate this Proposal for material breach if the breaching party fails to cure within days after written notice. Termination by Client prior to substantial completion shall entitle Contractor to payment for work performed, materials purchased, and reasonable demobilization costs.

Change Orders

Any changes to the Scope of Work shall be documented in a written change order signed by both parties. Change orders shall state the change, adjustment to contract price, and any extension of time. Contractor will not proceed with changed work without a signed change order unless otherwise agreed in writing.

Warranties

Contractor warrants workmanship for a period of years from completion. Manufacturer warranties on materials apply as provided by manufacturers and are transferred to Client to the extent assignable. Warranty does not cover damage from Acts of God, structural movement, or improper maintenance.

Insurance, Indemnity and Liens

Contractor shall maintain general liability and workers' compensation insurance in amounts adequate for the Work. Contractor agrees to indemnify and hold Client harmless from claims arising out of Contractor's negligent performance, except to the extent caused by Client's negligence. Contractor will provide lien releases upon payment; Client may withhold payment for valid liens until resolved.

Confidentiality

Each party shall treat all non-public business information, estimates, pricing, and documents exchanged in connection with this Proposal as confidential and shall not disclose such information to third parties except as required by law or to perform the Work. Confidentiality obligations survive termination for a period of years.

Governing Law

This Proposal and any resulting contract shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Entire Agreement

This Proposal, together with any signed change orders and attachments expressly incorporated herein, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements, whether written or oral.
