CONSTRUCTION SCAFFOLD AGREEMENT

PARTIES AND RECITALS

This Construction Scaffold Agreement (the Agreement) is entered into as of by and between Client Name: and Contractor Name: .

WHEREAS, Client requires temporary scaffolding and related services at the project location described below; and

WHEREAS, Contractor represents that it is duly qualified, experienced, and properly equipped to furnish, erect, maintain, inspect and dismantle scaffolding in accordance with applicable laws and safety standards; and

WHEREAS, the parties desire to set forth the terms and conditions governing the supply, erection, maintenance, inspection and removal of scaffolding for the Project.

PROJECT INFORMATION

SCOPE OF WORK

Contractor shall furnish all labor, materials, equipment and supervision necessary to provide the scaffolding services described below and perform the work in a safe, workmanlike manner and in compliance with all applicable laws, codes and safety standards:

Work includes erection, periodic inspection, maintenance, modifications as requested by Client within the agreed scope, and final dismantling and removal upon expiration or termination of this Agreement. Contractor shall promptly notify Client in writing of any condition that materially increases risk to personnel or property.

INSPECTION, MAINTENANCE AND COMPLIANCE

Contractor shall perform competent inspections of the scaffold at intervals consistent with site conditions and industry practice and after any occurrence that could affect stability. Inspection records shall be maintained on site and made available to Client upon request.

PAYMENT TERMS

In consideration for the services described in this Agreement, Client shall pay Contractor as set forth below. All payments are due in U.S. dollars and subject to the terms below.

Late payments shall accrue interest at the rate of % per month (or the maximum permitted by law, if less) on amounts overdue. Client shall also reimburse Contractor for reasonable collection costs and legal fees resulting from nonpayment.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice. In addition, either party may terminate immediately for cause if the other party materially breaches any obligation and fails to cure within ten (10) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party shall hold in confidence any non-public information disclosed by the other party that is designated as confidential or that, by its nature, should reasonably be understood to be confidential (Confidential Information). Confidential Information does not include information that (i) is or becomes generally available to the public through no act or omission of the receiving party; (ii) is known to the receiving party at the time of disclosure; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed by the receiving party. The receiving party shall use Confidential Information solely for performance under this Agreement and shall not disclose it to third parties except to its employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement.

INSURANCE AND INDEMNITY

Contractor shall maintain insurance coverage appropriate for the work performed, including liability and workers' compensation as applicable, and shall provide certificates of insurance to Client upon request. Contractor agrees to indemnify, defend and hold harmless Client from and against claims, liabilities, losses, damages and expenses arising out of Contractor's negligence or willful misconduct in connection with performance of the Work, except to the extent such claims arise from Client's negligence or breach of this Agreement.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Project is located, without regard to its conflicts of law principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation. If negotiation fails, the parties may pursue any remedy available at law or in equity.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all attached exhibits and schedules, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

The parties acknowledge that each has had the opportunity to review and negotiate this Agreement and that any ambiguities shall not be construed against either party as drafter.
