Construction Service Contract

This Construction Service Contract ("Contract") is entered into as of Effective Date: by and between Client Name: (the "Client") and Contractor Name: (the "Contractor"). The Client and Contractor are each referred to herein as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, the Client desires to retain the Contractor to perform construction services for the project described herein under the terms and conditions set forth in this Contract; and

WHEREAS, the Contractor represents that it has the experience, personnel, licenses and insurance necessary to perform the work in a professional manner and in accordance with applicable laws, codes and industry standards; and

WHEREAS, the Parties desire to set forth their respective obligations, payment terms, and other provisions governing the performance of the work.

SCOPE OF WORK

The Contractor shall furnish all labor, materials, equipment, supervision and services necessary to complete the Work described above in accordance with this Contract, applicable building codes, permits, and industry standards. All materials shall be new unless otherwise agreed in writing.

PAYMENT TERMS

Late payments not disputed in good faith shall accrue interest at the rate of on the overdue balance, compounded monthly, until paid in full. The Client shall be responsible for reasonable collection costs, including attorney fees, for overdue payments not timely remedied.

Either Party may terminate this Contract for material breach by the other Party if the breaching Party fails to cure such breach within days after receipt of written notice specifying the breach. The Client may terminate for convenience upon days' written notice, subject to payment for Work performed and for reasonable demobilization and wind-down costs.

CHANGE ORDERS

All changes to the Work shall be executed only by a written Change Order signed by both Parties that describes the change, adjustments to the Contract Price, and any extension of the schedule. No verbal directions shall be binding. The Contractor shall provide a written cost and schedule proposal within a reasonable time of any requested change.

PERMITS, LICENSES, AND COMPLIANCE

Unless otherwise agreed, the Contractor shall obtain and pay for all permits, inspections and licenses required for performance of the Work. The Contractor shall perform the Work in compliance with applicable laws, codes, regulations and lawful orders of public authorities.

INSURANCE

The Contractor shall maintain commercial general liability, automobile liability, workers' compensation and other insurance customary for the type and scope of Work. Minimum limits and additional insured requirements, if any, shall be specified as:

INDEMNIFICATION

The Contractor shall indemnify, defend and hold harmless the Client, its officers, directors and agents from and against all claims, liabilities, losses, damages and expenses (including reasonable attorney fees) arising out of or resulting from the performance of the Work, to the extent caused by the acts, omissions or negligence of the Contractor, its employees, subcontractors or agents, except to the extent caused by the negligence or willful misconduct of the Client.

WARRANTIES

The Contractor warrants that all Work performed under this Contract shall be free from defects in workmanship for a period of from the date of completion. Manufacturer warranties for materials shall be passed through to the Client where transferable. This warranty does not cover normal wear and tear, damage from misuse, or alterations by others.

CONFIDENTIALITY

Each Party shall keep confidential and shall not disclose to any third party any non-public information provided by the other Party in connection with this Contract, except as required by law or as necessary to perform the Work. Confidential information shall not include information that is or becomes publicly available without breach of this Contract or information lawfully received from a third party without obligation of confidentiality.

FORCE MAJEURE

Neither Party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, labor disputes, governmental action, shortages of materials, or severe weather (“Force Majeure Event”). The affected Party shall provide prompt written notice and shall be entitled to a reasonable extension of time to perform. If a Force Majeure Event continues beyond days, either Party may terminate this Contract upon written notice.

DISPUTE RESOLUTION AND GOVERNING LAW

This Contract shall be governed by and construed in accordance with the laws of the State of . Any dispute arising out of or relating to this Contract shall be resolved by litigation in a court of competent jurisdiction located in that State, unless the Parties agree in writing to binding arbitration.

NOTICES

All notices, requests, consents and other communications required or permitted under this Contract shall be in writing and shall be delivered to the addresses below by hand delivery, certified mail, or nationally recognized courier service.

MISCELLANEOUS

Assignment: Neither Party may assign its rights or delegate its duties under this Contract without the prior written consent of the other Party, which consent shall not be unreasonably withheld.

Subcontractors: The Contractor may engage subcontractors to perform portions of the Work, provided the Contractor remains responsible for the performance, coordination and payment of such subcontractors and for compliance with all Contract terms.

Severability: If any provision of this Contract is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

ENTIRE AGREEMENT

This Contract, together with any exhibits, attachments and Change Orders executed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral.
