CONSTRUCTION SIGN OFF AGREEMENT

This Construction Sign Off Agreement (the "Agreement") is entered into by the undersigned parties as of the Signature Date below.

WHEREAS, Contractor has performed construction work described in the Contract Documents at the Property identified above; and WHEREAS, Owner and Contractor desire to document acceptance, outstanding items, retainage release conditions, and mutual releases associated with final payment and completion of work.

Owner acknowledges that a final walkthrough and inspection were conducted on the Final Inspection Date stated above. Acceptance is subject only to the punchlist items set forth below and any express warranties identified in this Agreement.

Punchlist — Outstanding Items

The following items remain outstanding and shall be completed in accordance with the Remedy Schedule below. Items not listed are deemed accepted by Owner upon execution of this Agreement.

Final payment shall be due upon acceptance as conditioned herein. Release of retainage is conditioned upon (a) completion of the Remedy Schedule; (b) delivery of final lien waivers from Contractor and subcontractors covering work through the date of final payment; and (c) satisfactory completion of corrective work identified in the Punchlist.

Certifications and Releases

By signing below, Contractor certifies that, to the best of Contractor's knowledge, all work identified in the Contract Documents has been completed in accordance with applicable laws, codes, and industry standards except for the Punchlist items and Remedy Schedule stated above.

Contractor further represents that it will deliver conditional or unconditional lien waivers as required for final payment: Lien Waivers Provided: Yes   No

Owner, by executing this Agreement, acknowledges receipt of Contractor's notice of completion or final invoice as applicable and accepts the Work except as expressly reserved herein for Punchlist items. Acceptance does not waive Owner's rights under express warranties or for latent defects.

Warranties and Remedies

Contractor warrants that work performed shall be free from defects in workmanship for the Warranty Period specified in the underlying Contract Documents. Where no express warranty period is provided, Contractor warrants performed work for a period of one year from the Substantial Completion Date stated above.

Liens, Claims & Indemnity

Contractor agrees to indemnify and defend Owner against any mechanic's lien, claim, or encumbrance for labor, materials, or services arising from Contractor's performance through the date of final payment. Owner may withhold the Retainage or pursue other remedies to satisfy any valid lien claims that are not timely released.

Insurance and Records

Contractor represents that required insurance coverages were in effect during performance and will provide certificates of insurance or confirmations upon request. Contractor shall retain project records for a period of three (3) years following Final Payment.

Default, Remedies, and Governing Law

If either party materially defaults under this Agreement, the non-defaulting party shall provide written notice and a reasonable opportunity to cure as provided in the underlying Contract Documents. This Agreement shall be governed by the laws of the state in which the Property is located.

Severability: If any provision is held invalid, the remainder shall remain in full force. Entire Agreement: This Agreement, together with the Contract Documents expressly referenced herein, constitutes the entire agreement between the parties regarding the subject matter.

Acknowledgments

Each party warrants that it has the authority to execute this Agreement and that the individual signing on behalf of a party is authorized to bind that party. This Agreement may be executed in counterparts, each of which shall be an original and all of which shall constitute one instrument.
