WHEREAS, Client engages Contractor to perform pre-construction site preparation work at the Project Address described above, and Contractor has represented that it is qualified and experienced to perform the required preparatory activities in a competent and workmanlike manner; and

WHEREAS, the parties desire to document the required site readiness tasks, acceptance criteria, payment terms, and mutual responsibilities prior to commencement of construction activities to reduce risk and ensure compliance with applicable permits and safety standards.

CONFIDENTIALITY

Each party shall maintain as confidential all non-public information disclosed in connection with the Project, including site plans, proprietary construction means and methods, and pricing, and shall not disclose such information to third parties except as required by law or with prior written consent. Confidential information shall not include information that is publicly known without breach of this Agreement, independently developed, or rightfully received from a third party without restriction.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Project Address is located, without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in the jurisdiction of the Project Address for resolution of disputes.

ENTIRE AGREEMENT

This document, together with any attachments referenced herein, constitutes the entire agreement between the parties regarding site preparation and supersedes all prior agreements, representations, and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
