CONSTRUCTION SLABS AGREEMENT

This Construction Slabs Agreement (the Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Owner desires to engage Contractor to perform concrete slab work at the project location described as ; and

WHEREAS, Contractor represents that it has the experience, personnel and equipment necessary to perform the work described in this Agreement in a professional and workmanlike manner; and

WHEREAS, the parties wish to set forth the terms and conditions under which Contractor shall perform the slab work and Owner shall compensate Contractor.

SCOPE OF WORK

Contractor shall furnish all labor, materials, equipment and supervision necessary to complete the construction of concrete slabs as described below and in the attached specifications. Work includes forming, subgrade preparation, reinforcement placement, concrete placement, finishing, curing, jointing, clean-up and protection until acceptance by Owner.

PAYMENT TERMS

Owner agrees to pay Contractor the Contract Price for all labor and materials supplied under this Agreement in accordance with the schedule set forth below. Payments are due when invoiced unless otherwise specified.

All payments not timely paid shall accrue interest and late fees as specified above. Contractor may suspend work for nonpayment after providing days' written notice to Owner.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and continue until the Work is complete and accepted in accordance with this Agreement, unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above. Upon termination, Owner shall pay Contractor for work performed to the date of termination, reasonable demobilization costs, and expenses incurred. Termination shall not relieve either party of obligations that by their nature survive termination.

CHANGES / CHANGE ORDERS

Any changes to the Scope of Work, including additions, deletions or substitutions, shall be made only by a written change order signed by Owner and Contractor. Change orders shall state any adjustments to the Contract Price and time for performance.

PERMITS, INSURANCE AND INDEMNITY

Contractor shall secure and pay for all permits, inspections and licenses required by applicable authorities for the Contractor's performance of the Work unless otherwise agreed in writing. Contractor shall maintain insurance customary to the trade and indemnify and hold Owner harmless from claims arising from Contractor's negligent acts or omissions in performing the Work, subject to applicable law and any limitations set forth in this Agreement.

WARRANTY AND ACCEPTANCE

Contractor warrants that materials and workmanship furnished under this Agreement shall be free from defects for the period specified below. The warranty does not cover damage due to abuse, ordinary wear, unauthorized repairs, or Owner-provided materials or design defects.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not be disclosed except to employees, subcontractors or consultants who need to know and who are bound to maintain confidentiality. The obligations in this section survive termination of this Agreement for two years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. Venue for any litigation shall be in the state or federal courts located in the applicable county of such state.

ENTIRE AGREEMENT

This Agreement, including any attachments and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment of this Agreement shall be effective unless made in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Contractor may assign receivables to a financial institution for financing purposes.
