CONSTRUCTION SUBCONTRACT AGREEMENT

RECITALS

WHEREAS, Contractor is the prime contractor under a contract with Owner for the construction of the project identified as Project Name: located at Project Address: (the "Project"); and

WHEREAS, Contractor desires to engage Subcontractor to perform certain portions of the Work under the Prime Contract and Subcontractor has the experience, skill and licensing to perform such Work; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the scope, schedule, compensation and administration of Subcontractor's Work.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SCOPE OF WORK

Subcontractor shall furnish all labor, materials, equipment, tools, supervision and services necessary to perform the Work described in this Agreement and in the Contract Documents. The Subcontractor's specific duties and deliverables are described below and in the Project drawings and specifications identified in the Contract Documents. Subcontractor shall perform the following scope:

2. CONTRACT SUM; PAYMENT

Contractor shall pay Subcontractor for the satisfactory performance of the Work the total sum of: (the "Subcontract Sum"), subject to additions and deductions for changes in the Work pursuant to Section 5.

Retainage: Contractor may withhold retainage in the amount of of each progress payment, unless otherwise required by the Prime Contract.

3. TIME FOR PERFORMANCE

Subcontractor shall commence the Work on or before and shall achieve substantial completion by , subject to excusable delays as provided in this Agreement and the Prime Contract.

4. CHANGES; CHANGE ORDERS

No change in the Work shall be effective unless authorized by a written Change Order executed by Contractor and Subcontractor. Change Orders shall include equitable adjustment to the Subcontract Sum and the Contract Time. Subcontractor shall not proceed with changed Work without such written authorization, and Subcontractor waives any claim for additional compensation or time for unauthorized changes.

5. LIENS, BONDS AND PAYMENT OF SUBSUBCONTRACTORS

Subcontractor shall promptly pay all subcontractors, laborers and material suppliers used in connection with the Work and shall not permit any liens to be filed against the Project. Upon request, Subcontractor shall furnish sworn statements, releases and waivers and a payment bond in the amount of the Subcontract Sum if required by Contractor. Subcontractor shall indemnify Contractor for costs and expenses arising from any claim or lien caused by Subcontractor's failure to pay its subcontractors or suppliers.

6. INSURANCE

Subcontractor shall maintain insurance in types and amounts sufficient to protect Contractor and Owner, including commercial general liability, workers' compensation, automobile liability and employer's liability, and shall name Contractor as an additional insured on commercial general liability policies to the extent required by the Prime Contract. 7. INDEMNITY

To the fullest extent permitted by law, Subcontractor shall indemnify, defend and hold harmless Contractor, Owner and their agents and employees from and against all claims, damages, losses and expenses, including reasonable attorneys' fees, arising out of or resulting from the performance of the Work, to the extent caused by the negligent acts or omissions or willful misconduct of Subcontractor, its subcontractors, anyone directly or indirectly employed by them or anyone for whose acts they may be liable.

8. WARRANTIES

Subcontractor warrants that the Work will be performed in a good and workmanlike manner, in accordance with the Contract Documents and applicable law, and free from defects in materials and workmanship for a period of from substantial completion of Subcontractor's Work.

9. TERMINATION

Contractor may terminate this Agreement for cause if Subcontractor fails to cure a material breach within seven (7) days after written notice, or immediately upon a material failure that threatens safety or completion of the Project. Upon termination for cause, Contractor may complete the Work and deduct the cost of completion from amounts due to Subcontractor. Either party may terminate for convenience upon fifteen (15) days' prior written notice; in such event, Subcontractor shall be paid for Work executed and reasonable demobilization costs.

10. DISPUTE RESOLUTION

Claims arising out of or relating to this Agreement shall first be submitted to non-binding mediation. If mediation does not resolve the dispute within sixty (60) days, the parties may pursue adjudication by binding arbitration or litigation as set forth below:

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered personally, by certified mail (return receipt requested) or by nationally recognized overnight courier to the addresses below or to such other address as either party may designate by notice.

12. AMENDMENTS; WAIVER

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the waiving party. A waiver of any breach shall not constitute a waiver of any subsequent breach.

13. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state where the Project is located. This Agreement, together with the Contract Documents incorporated herein by reference, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations and agreements, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, such provision shall be severed and the remainder of the Agreement shall remain in full force and effect.

14. MISCELLANEOUS

Subcontractor shall comply with all applicable laws, codes and regulations and shall obtain and pay for all permits and inspections required for its Work. Subcontractor shall perform its Work in coordination with the Contractor's schedule and other trades and shall maintain a clean and safe work area.
