CONSTRUCTION WORK AGREEMENT

This Construction Work Agreement ("Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Owner desires to engage Contractor to perform construction work at the project location described below, and Contractor represents it has the experience, personnel, licenses and insurance to perform such work in a professional and workmanlike manner.

WHEREAS, Contractor agrees to perform the work in accordance with the scope, schedule, and payment terms set forth in this Agreement, and Owner agrees to pay Contractor under the terms herein.

SCOPE OF WORK

Contractor shall furnish all labor, materials, equipment, supervision, and services necessary to complete the work described below (the "Work") in accordance with applicable laws and industry standards. The Work shall include, without limitation, the items set forth in the field below and any attachments incorporated by written reference.

PAYMENT TERMS

Contract Price: Owner shall pay Contractor the total sum of $ (the "Contract Price"), subject to additions and deductions for approved change orders and allowances.

Invoicing and Due Date: Contractor shall submit invoices in accordance with the payment schedule. Owner shall pay undisputed invoices within days of receipt.

Late Payment Fee: Past due amounts shall bear interest at the lesser of % per month or the maximum rate permitted by law, and Owner shall also be liable for collection costs and attorney fees incurred to collect unpaid amounts.

CHANGES; CHANGE ORDERS

Any change to the Scope of Work, Contract Price, or schedule must be made by a written change order signed by Owner and Contractor prior to the performance of the changed work. No oral orders shall be binding. Change orders shall set forth adjustments to price and schedule and any additional terms.

TERM AND TERMINATION

Commencement Date: Work shall commence on or about and shall be substantially completed by , subject to adjustments for approved change orders, delays, and force majeure.

Termination for Cause: Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after written notice specifying the breach.

Termination for Convenience: Owner may terminate for convenience upon providing days' written notice to Contractor. In such event Contractor shall be entitled to payment for Work performed and reasonable costs incurred prior to termination.

CONFIDENTIALITY

Each party shall treat as confidential and shall not disclose to third parties any proprietary or non-public information of the other party disclosed in connection with this Agreement, except information that (a) is or becomes public through no breach of this Agreement, (b) is rightfully received from a third party without restriction, or (c) is required to be disclosed by law, provided the disclosing party gives prompt notice to the other party where permitted. Confidential information shall be used only for the purpose of performing obligations under this Agreement.

INSURANCE, LICENSES & PERMITS

Contractor shall maintain, at its expense, commercial general liability, workers' compensation, automobile liability, and any other insurance required by law or applicable to the Work. Contractor shall furnish certificates of insurance upon request. Contractor shall maintain all required licenses and obtain all permits and inspections necessary for performance of the Work, unless otherwise stated in writing.

WARRANTY

Contractor warrants that all labor and materials furnished under this Agreement shall be free from defects in workmanship and materials for a period of months from substantial completion, unless a different warranty period is specified in writing. This warranty does not cover damage due to ordinary wear and tear, Owner neglect, or modifications by others.

LIENS; PAYMENT TO SUBCONTRACTORS

Contractor shall pay all subcontractors and suppliers in a timely manner. Contractor shall not permit liens to attach to the Project for labor or materials supplied by Contractor; if liens are filed, Contractor shall promptly bond or discharge such liens at Contractor's expense.

FORCE MAJEURE; DELAYS

Neither party shall be liable for delays or failures in performance caused by events beyond its reasonable control, including acts of God, labor disputes, governmental actions, shortages, or severe weather. The time for performance shall be extended by the period of such delay upon notice to the other party.

INDEMNIFICATION

Contractor shall indemnify and hold Owner harmless from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of Contractor's performance of the Work, to the extent caused by Contractor's negligent acts or omissions or willful misconduct. Owner shall indemnify Contractor for claims arising from Owner-supplied materials or Owner's negligent acts.

DISPUTE RESOLUTION & GOVERNING LAW

The parties agree to attempt to resolve disputes arising under this Agreement through good faith negotiation. If unresolved, disputes shall be resolved by binding arbitration or litigation as selected by the prevailing party in the state court of the state of , and the laws of that state shall govern without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all exhibits, schedules and written change orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendment must be in writing and signed by both parties.

NOTICES

All notices required or permitted hereunder shall be in writing and delivered by hand, courier, or certified mail to the addresses set forth above, or to such other address as a party may designate in writing.
