CONSULTANT AGREEMENT

This Consultant Agreement ("Agreement") is entered into as of by and between Client Name: with principal place of business at and Consultant Name: .

RECITALS

WHEREAS, Client desires to engage Consultant to perform the services described in this Agreement and Consultant has represented that Consultant has the qualifications, experience, and ability to perform such services in accordance with the terms set forth herein.

WHEREAS, Consultant agrees to provide such services to Client on the terms and conditions set forth below, and the parties desire to set forth their rights and responsibilities with respect thereto.

Consultant shall provide services to Client as described in the Scope of Work. Consultant agrees to perform services in a professional and workmanlike manner in accordance with industry standards.

3. PAYMENT TERMS

As full compensation for Services rendered under this Agreement, Client shall pay Consultant the fees and reimbursements set forth below. Consultant shall be responsible for all taxes and shall not be treated as an employee of Client.

Unless otherwise agreed in writing, Client shall pay undisputed invoices within the invoice terms stated above. Client may withhold payments for nonconforming or incomplete work until such work is corrected.

4. TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within fifteen (15) days after receipt of written notice specifying the breach. Upon termination Client shall pay Consultant for Services performed and reimbursable expenses incurred through the effective date of termination.

5. CONFIDENTIALITY

Consultant acknowledges that in the course of performing Services Consultant will have access to confidential and proprietary information of Client ("Confidential Information"). Consultant shall not disclose, use, or permit the use of Confidential Information except as necessary to perform the Services. Consultant shall protect Confidential Information with at least the same degree of care as Consultant uses to protect its own confidential information, but not less than reasonable care.

The obligations in this Section shall survive termination of this Agreement for the period specified above, except with respect to Confidential Information that is publicly known through no wrongful act of the recipient or that is independently developed without use of the disclosing party's Confidential Information.

6. INDEPENDENT CONTRACTOR; INSURANCE

Consultant is an independent contractor and not an employee, partner, or agent of Client. Consultant shall have sole responsibility for the payment of all federal, state, and local taxes arising from compensation paid to Consultant under this Agreement. Consultant shall maintain insurance coverage sufficient to cover its liabilities arising from the Services and upon request provide certificates of insurance to Client.

7. INDEMNIFICATION

Consultant shall indemnify, defend and hold harmless Client and its officers, directors, and employees from and against any and all claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of Consultant's breach of this Agreement, negligent acts, or willful misconduct.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties agree that exclusive jurisdiction for any disputes arising under this Agreement shall lie in the state and federal courts located in that State.

9. ENTIRE AGREEMENT

This Agreement, including any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

10. MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that monetary damages may be an insufficient remedy for a breach of the confidentiality or intellectual property provisions and that equitable relief may be sought in addition to other remedies.
