CONSUMER INFORMATION NOTICE

Recitals

WHEREAS, Service Provider: provides goods and/or services to consumers and maintains this Consumer Information Notice to disclose material terms, rights, and obligations governing such consumer transactions; and

WHEREAS, Consumer Name: seeks to obtain the services described below and requires clear notice of payment terms, confidentiality protections, termination rights, and governing law; and

WHEREAS, the parties intend that this Consumer Information Notice set forth the principal terms that will govern the provision of services and that the Consumer receives a copy prior to or at the time services commence.

Scope of Work

The Provider shall perform the services described below for the Consumer. The parties acknowledge that the written description below is an operational summary of services to be provided and any material change will be documented and delivered to the Consumer in writing.

Payment Terms

The Consumer agrees to pay the Provider in consideration for the services described above according to the following terms. All amounts are stated in U.S. dollars unless otherwise noted.

Failure to remit payment by the due date will permit the Provider to assess the agreed late fee, suspend services after providing written notice, and recover reasonable costs of collection, including attorney fees where permitted by law.

Term and Termination

This Notice and any underlying agreement arising from it shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon written notice to the other party delivered at least prior to the effective date of termination. The Provider may terminate immediately for cause if the Consumer fails to pay or breaches material obligations and does not cure within 10 days of written notice.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party nonpublic information of the other party marked or reasonably understood to be confidential ("Confidential Information"). Confidential Information does not include information that is or becomes public through no fault of the recipient, was lawfully in the recipient's possession prior to disclosure, or is rightfully received from a third party without restriction.

The recipient shall use Confidential Information solely for the purposes of performing or receiving the services described herein and shall take reasonable measures to protect such information, at least as protective as those the recipient uses to protect its own confidential information.

Governing Law

This Notice shall be governed by and construed in accordance with the laws of the state identified below, without regard to principles of conflict of laws.

Entire Agreement

This Consumer Information Notice, together with any documents expressly incorporated herein in writing, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, and representations, whether written or oral. Any amendment must be in a written document signed by both parties.

The Consumer has a right to receive a copy of this Consumer Information Notice. By signing below, the Consumer acknowledges receipt of this Notice and understands the described terms, including payment and termination provisions. The Consumer is entitled to request clarification of any provision prior to signing.
