CONSUMER INFORMATION PACKET

Parties and Recitals

This Consumer Information Packet (the "Packet") is made effective as of by and between ("Provider") and ("Consumer").

WHEREAS, Provider is engaged in the business of supplying the goods and/or services described in this Packet and has represented capability and experience to perform such services; and

WHEREAS, Consumer desires to receive the services and/or goods from Provider on the terms and conditions set forth in this Packet; and

WHEREAS, the parties intend that this Packet, together with any signed work orders or invoices referencing it, set forth the disclosures and contractual terms governing the relationship between Provider and Consumer.

Consumer Information

Scope of Work

Provider will perform the services and provide the goods described below. The description is a material part of this Packet and controls the Provider's obligations:

Late Payment Fee: An interest charge of per month (or the maximum allowed by law if lower) will accrue on overdue amounts measured from the date payment was due until paid in full. Consumer is responsible for collection costs, including reasonable attorney fees, for delinquent accounts.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after receiving written notice. Provider may suspend performance immediately upon nonpayment by Consumer, without waiving Provider's right to terminate.

Cancellation, Refunds and Consumer Rights

Cancellation by Consumer: Consumer may cancel services prior to commencement of performance subject to any non-refundable deposit described in the Payment Schedule. If Consumer cancels after Provider begins performance, Consumer may remain liable for reasonable fees for work completed through the date of cancellation.

Refunds: Refunds, if any, shall be issued in accordance with Provider's refund policy as described in the Payment Schedule and any separate invoice or work order. Any dispute concerning refunds will be handled as provided in the Dispute Resolution section below.

Confidentiality

Definition: "Confidential Information" means non-public business, financial, technical, or personal information disclosed by one party to the other in connection with this Packet, whether disclosed orally or in writing, and marked confidential or that a reasonable person would understand to be confidential.

Obligations: Each party shall (i) hold Confidential Information in strict confidence, (ii) not disclose Confidential Information to any third party except as required to perform its obligations under this Packet or as required by law, and (iii) use Confidential Information solely to exercise its rights and perform its obligations hereunder.

Exceptions: Confidential Information does not include information that (a) is or becomes public other than by breach of this Packet, (b) was known to the receiving party prior to disclosure, (c) is received from a third party without obligation of confidentiality, or (d) is independently developed without use of the disclosing party's Confidential Information.

Duration: The confidentiality obligations in this Packet shall survive termination for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

Dispute Resolution

The parties agree to attempt in good faith to resolve disputes arising under this Packet through negotiation between senior representatives. If unresolved within thirty (30) days, disputes shall be resolved by binding arbitration conducted in accordance with the chosen forum's rules, and judgment on the award may be entered in any court having jurisdiction. The prevailing party in any dispute shall be entitled to recover reasonable attorneys' fees and costs.

Governing Law

This Packet shall be governed by and construed in accordance with the laws of the State of , without regard to choice-of-law principles that would apply the laws of another jurisdiction.

Limitation of Liability

Except for breaches of confidentiality or willful misconduct, neither party shall be liable to the other for consequential, incidental, special, or punitive damages. Provider's aggregate liability under this Packet shall not exceed the total amounts paid by Consumer to Provider under the applicable work order or invoice giving rise to the claim.

Entire Agreement

This Packet, together with any signed work orders, schedules, and invoices expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, proposals, representations, and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.
