CONSUMER SALE AGREEMENT

This Consumer Sale Agreement (the Agreement) is entered into by and between the undersigned parties for the purchase and sale of the real property described below under the terms and conditions set forth herein.

TITLE, CLOSING, AND POSSESSION

Title: Seller shall convey marketable fee simple title by general warranty deed (or other specified deed) free of encumbrances except those listed herein. Buyer may obtain owner’s title insurance at Buyer’s expense.

Prorations: Taxes, assessments, rents, and other usual prorations shall be adjusted as of the Closing Date. Seller shall remain responsible for any pre-closing liens.

DEFAULT, REMEDIES, AND CURE

If Buyer fails to perform, Seller may retain the earnest money as liquidated damages or pursue specific performance or other remedies available at law or in equity. If Seller fails to perform, Buyer may demand return of earnest money, seek specific performance, or pursue other remedies. The parties’ remedies are cumulative except where otherwise restricted by this Agreement.

REPRESENTATIONS AND WARRANTIES

Seller represents that Seller is the sole owner of the Property and has authority to sell. Seller warrants there are no undisclosed material defects known to Seller and that all utilities and systems will be operating at Closing, absent disclosed exceptions. Buyer acknowledges Buyer has an opportunity to inspect and accepts the property except for matters timely disclosed during the Inspection Period.

ADDITIONAL PROVISIONS

Risk of Loss: If, prior to Closing, the Property is materially damaged, the party with insurance responsibility shall apply insurance proceeds to restore the Property or parties may elect to terminate this Agreement and have earnest money disbursed as provided herein.

NOTICES; GOVERNING LAW; ENTIRE AGREEMENT

Notices required by this Agreement shall be in writing and delivered to the addresses listed above by personal delivery, nationally recognized overnight courier, or certified mail, return receipt requested. This Agreement shall be governed by the laws of the state in which the Property is located. This Agreement, including all exhibits and addenda executed by the parties, constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written.

MISCELLANEOUS

Severability: If any provision of this Agreement is held invalid, such invalidity shall not affect the remaining provisions. Time is of the essence with respect to all dates and time periods contained herein unless otherwise specified in writing.
