CONTACT CERTIFICATION AGREEMENT

This Contact Certification Agreement (the Agreement) is made as of by and between Certifying Party: with principal place of business at and Recipient Party: with principal place of business at .

Recitals

WHEREAS, Certifying Party possesses and will provide to Recipient certain contact information for individuals and business contacts used in the ordinary course of business (the Contact Information); and

WHEREAS, Recipient requires that Certifying Party certify the accuracy of such Contact Information and maintain procedures to update and secure that Contact Information to support Recipient communications, regulatory compliance, and emergency notification; and

WHEREAS, the Parties desire to set forth the terms under which Certifying Party will certify, maintain, and provide Contact Information to Recipient.

NOW, THEREFORE, in consideration of the mutual covenants set forth herein and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the Parties agree as follows:

1. Definitions

1.1 "Contact Information" means names, titles, email addresses, telephone numbers, physical and mailing addresses, emergency contact details, and other information necessary for Recipient to contact individuals or entities identified by Certifying Party.

1.2 "Certification Date" means the date on which Certifying Party signs this Agreement or any subsequent certification required under Section 6.

2. Certification of Contact Information

2.1 Certifying Party hereby represents and warrants that, as of the Certification Date, the Contact Information provided to Recipient is true, correct and complete to the best of Certifying Party's knowledge, and was obtained lawfully and in compliance with all applicable privacy and data-protection requirements.

2.2 Certifying Party shall provide the following designated contact details to Recipient and certify their accuracy by entering the information below:

3.1 Certifying Party represents and warrants that (a) it has full right, power and authority to provide and certify the Contact Information; (b) the Contact Information is not false or misleading in any material respect; and (c) it will not provide Contact Information for any person or entity for whom it does not have a lawful basis to disclose such information.

3.2 Recipient acknowledges that Certifying Party's obligations under this Agreement pertain to the accuracy and maintenance of Contact Information and do not constitute a warranty as to the actions or responsiveness of any contact person.

4. Use and Disclosure

4.1 Recipient may use the Contact Information solely for Recipient's internal communications, compliance activities, emergency notifications, and other legitimate business purposes as agreed between the Parties.

4.2 Recipient shall not sell or otherwise distribute the Contact Information to third parties except (a) as required by law, (b) to service providers subject to confidentiality obligations no less protective than this Agreement, or (c) upon prior written consent of Certifying Party.

5. Confidentiality and Data Security

5.1 Each Party shall maintain administrative, physical and technical safeguards reasonably designed to protect the Contact Information from unauthorized access, disclosure, alteration or destruction. Such safeguards shall be consistent with industry-standard practices for protecting contact and personal information.

5.2 In the event of any unauthorized access or suspected breach involving Contact Information, the Party discovering the event shall promptly notify the other Party and cooperate in any reasonable remediation, mitigation and notification efforts.

6. Obligations to Update

6.1 Certifying Party shall promptly update Recipient whenever any material element of the Contact Information changes. Updates shall be provided within calendar days of the change.

6.2 If Certifying Party becomes aware that previously certified Contact Information was inaccurate, Certifying Party shall notify Recipient and provide corrected information without undue delay.

7. Notices

All notices, requests, demands and other communications required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as either Party designates by notice in accordance with this Section.

8. Term and Termination

8.1 This Agreement shall commence on the Effective Date and continue until terminated by either Party upon thirty (30) days' prior written notice. Termination shall not relieve either Party of obligations accrued prior to termination, including obligations to correct previously certified Contact Information.

9. Indemnification

9.1 Certifying Party shall indemnify, defend and hold harmless Recipient and its officers, directors, agents and employees from and against any losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from materially inaccurate Contact Information provided by Certifying Party or Certifying Party's breach of this Agreement.

10. Limitation of Liability

10.1 EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR A PARTY'S INDEMNIFICATION OBLIGATIONS UNDER SECTION 9, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.

12. Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral, relating to such subject matter.

13. Severability

If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect and the Parties shall negotiate in good faith to replace the invalid provision with a valid provision that, to the extent possible, achieves the Parties' original intent.

14. Amendments; Waiver; Counterparts

14.1 No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties.

14.2 No waiver of any breach shall be deemed a waiver of any other or subsequent breach.

14.3 This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

15. Additional Certifications

By signing below, Certifying Party affirms that it will: (a) maintain reasonable procedures to verify Contact Information prior to providing it to Recipient; (b) correct known inaccuracies promptly; and (c) comply with all applicable laws governing the collection, storage and disclosure of contact and personal information.

16. Miscellaneous

The Parties acknowledge that this Agreement may be executed electronically, and electronic signatures shall constitute original signatures for all purposes and be binding upon the Parties.
