1. Inspection Contingency

Buyer shall have a period of days from the Effective Date to perform inspections and investigations. If Buyer objects to inspection results in writing within that period, Seller shall have days to accept or cure. Failure to agree shall permit Buyer to terminate and recover the earnest money pursuant to the underlying purchase agreement.

2. Financing Contingency

If Seller defaults, Buyer may pursue specific performance or termination and refund of earnest money. The parties agree that monetary damages may be inadequate and that equitable relief is available.

Risk Allocation; Insurance; Maintenance

Unless otherwise agreed, risk of loss prior to closing remains with Seller. Seller shall maintain existing hazard insurance until closing. Routine maintenance and utilities remain the responsibility of the party in possession under the underlying purchase agreement.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located.
