CONTRACT ADDENDUM

5. CONFIDENTIALITY

5.1 Except as expressly provided in the Agreement or this Addendum, neither party shall disclose to any third party any confidential or proprietary information received from the other party in connection with the Agreement or this Addendum, except as required by law. The obligations of confidentiality in the Agreement shall continue to apply to any additional information exchanged pursuant to this Addendum.

6. INDEMNIFICATION

6.1 Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any and all claims, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of or resulting from the indemnifying party's breach of this Addendum or the Agreement as amended hereby.

7. NOTICES

7.1 All notices, requests, consents and other communications required or permitted under this Addendum shall be in writing and shall be delivered to the parties at the addresses set forth below (or to such other address as a party may designate by notice in accordance with this Section).

8. GOVERNING LAW; VENUE

8.1 This Addendum shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Addendum.

9. ENTIRE AGREEMENT; SEVERABILITY
