CONTRACT ADDITION AGREEMENT

This Contract Addition Agreement ("Addendum") is made and entered into as of by and between Party A: , a with principal place of business at , and Party B: , a with principal place of business at (each a "Party" and collectively the "Parties").

RECITALS

WHEREAS, the Parties entered into that certain agreement titled dated (the "Agreement");

WHEREAS, the Parties desire to amend and supplement certain provisions of the Agreement as set forth herein in order to reflect agreed adjustments to the scope, compensation, and related terms; and

WHEREAS, capitalized terms used but not defined in this Addendum shall have the meanings ascribed to them in the Agreement unless otherwise defined herein.

NOW, THEREFORE

In consideration of the mutual agreements and covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. INCORPORATION

1.1. Incorporation by Reference. The Agreement is hereby incorporated into this Addendum by reference. Except as expressly modified by this Addendum, all terms, conditions, covenants and provisions of the Agreement shall remain in full force and effect.

2. AMENDMENTS TO AGREEMENT

2.1. Specific Amendments. The Agreement is amended as follows (the "Amendments"):

2.2. Conflicts. In the event of any conflict between the terms of this Addendum and the Agreement, the terms of this Addendum shall control.

3. CONSIDERATION

3.1. Additional Consideration. As full and complete consideration for the Amendments, shall pay to the sum of $ payable in accordance with the payment schedule set forth in the Agreement as amended.

3.2. No Other Consideration. Except as expressly set forth in this Addendum, no Party shall be entitled to any additional consideration, and all other compensation provisions of the Agreement shall remain in effect.

4. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other that: (a) it has all requisite power and authority to enter into this Addendum and to perform its obligations hereunder; (b) execution and delivery of this Addendum and performance hereunder have been duly authorized by all necessary corporate or other action; and (c) this Addendum constitutes a legal, valid and binding obligation enforceable against such Party in accordance with its terms.

5. CONFIDENTIALITY

All confidential information exchanged in connection with the Agreement shall remain subject to the confidentiality provisions of the Agreement. To the extent the Agreement does not contain confidentiality protections, the Parties agree to maintain in confidence any nonpublic information exchanged pursuant to this Addendum and not to disclose such information except as required by law.

6. INDEMNIFICATION

Each Party shall indemnify, defend and hold harmless the other Party from and against any and all losses, liabilities, damages, fines, penalties and expenses (including reasonable attorneys' fees) arising out of or resulting from such Party's breach of this Addendum or the Agreement as amended hereby.

7. LIMITATION OF LIABILITY

Except to the extent resulting from gross negligence or willful misconduct, neither Party shall be liable to the other for consequential, incidental, special, punitive or exemplary damages, even if advised of the possibility thereof. The Parties' aggregate liability under the Agreement as amended shall be subject to any limitations set forth in the Agreement.

9. AMENDMENT; WAIVER

No amendment, modification or waiver of any provision of this Addendum shall be effective unless in writing and signed by both Parties. Failure or delay by either Party to exercise any right shall not be deemed a waiver of that right.

10. SEVERABILITY

If any provision of this Addendum is determined to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired.

11. GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

12. ENTIRE AGREEMENT

This Addendum, together with the Agreement, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings of the Parties, whether oral or written, relating to such subject matter.

13. COUNTERPARTS

This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission shall be binding.

The headings in this Addendum are for convenience only and shall not affect interpretation. Any reference to a Party includes its permitted successors and assigns. The Parties shall execute and deliver such further documents and take such further actions as may be necessary to effectuate the purposes of this Addendum.
