6.1 All notices, requests, consents and other communications hereunder must be in writing and delivered in accordance with the Agreement and shall be deemed given as provided in the Agreement.

7.1 No amendment, modification or waiver of any provision of this Consent shall be binding unless in writing and signed by the Parties. The waiver by any Party of a breach of any provision of this Consent shall not operate or be construed as a waiver of any other breach.

7.2 This Consent may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.
