CONTRACT AMENDMENT FOR CLIENT SEARCH

This Amendment to the Agreement (the "Amendment") is entered into as of by and between Client Name: with principal place of business at ("Client"), and Service Provider Name: with principal place of business at ("Provider"). Each of Client and Provider may be referred to herein individually as a Party and collectively as the Parties.

RECITALS

WHEREAS, Client and Provider entered into a written agreement entitled dated (the "Agreement"); and

WHEREAS, the Parties now desire to amend certain terms of the Agreement related to Provider's engagement to conduct client search services to identify, evaluate and present candidates or target clients (the "Search"); and

WHEREAS, the Parties wish to set forth the amended scope, fees, timelines and related terms in this Amendment and to confirm that, except as expressly modified herein, the Agreement remains in full force and effect.

NOW, THEREFORE

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree to amend the Agreement as follows:

1. AMENDMENT TO SCOPE OF SEARCH

The Scope of Services provision of the Agreement is amended by replacing the existing description with the following scope. Provider shall undertake a targeted search to identify prospective clients and contacts that meet Client's specified criteria and shall present qualified introductions in accordance with the performance standards and deliverables set forth below.

2. FEES, PAYMENT AND RETAINER

Client shall pay Provider the fees described below for the amended Scope of Search. All fees are exclusive of applicable taxes unless otherwise stated. Payment terms are net thirty (30) days from invoice date unless otherwise specified.

3. TERM; TERMINATION

This Amendment shall become effective on the Effective Date and shall continue until unless earlier terminated in accordance with the Agreement. Either Party may terminate the amended services upon days' prior written notice to the other Party. Termination shall not relieve Client of its obligation to pay fees earned through the effective date of termination.

4. DELIVERABLES; TIMELINES

Provider shall use commercially reasonable efforts to meet the following deliverables and timelines. Time is of the essence for any deadline expressly designated as such.

5. CONFIDENTIALITY & DATA HANDLING

All information exchanged in connection with the Search shall be subject to the confidentiality provisions of the Agreement. Provider shall use such confidential information solely for the purpose of performing the Search, shall limit access to personnel with a need to know, and shall employ reasonable administrative, technical and physical safeguards to protect Personal Data and Confidential Information. Provider shall promptly notify Client of any unauthorized disclosure or data breach relating to Client data.

6. REPRESENTATIONS, WARRANTIES AND COVENANTS

Each Party represents and warrants that: (a) it has the full right, power and authority to enter into this Amendment and to perform its obligations hereunder; (b) the execution and delivery of this Amendment and the performance of its obligations do not and will not conflict with any other agreement to which it is a party; and (c) it will comply with applicable laws in the performance of its obligations.

7. INDEMNIFICATION

Each Party shall indemnify, defend and hold harmless the other Party and its officers, directors, employees and agents from and against any losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from third-party claims to the extent caused by the indemnifying Party's breach of this Amendment or its negligent or willful misconduct in connection with the Search.

8. LIMITATION OF LIABILITY

Except for liability arising from a Party's gross negligence, willful misconduct or breach of confidentiality or indemnification obligations, neither Party shall be liable to the other for any consequential, incidental, special or punitive damages, and aggregate direct damages arising from or relating to this Amendment shall be limited to the total fees paid by Client to Provider under this Amendment during the six (6) month period preceding the claim.

9. NOTICE

All notices required or permitted under this Amendment shall be in writing and shall be delivered to the addresses set forth below or such other address as either Party may designate in writing in accordance with this Section.

10. AMENDMENT; WAIVER; COUNTERPARTS

This Amendment may be amended or modified only by a written instrument executed by authorized representatives of both Parties. No waiver of any provision of this Amendment shall be effective unless in writing and signed by the Party against whom such waiver is asserted. This Amendment may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Amendment shall be governed by and construed in accordance with the laws of the state specified in the Agreement, without regard to its conflicts of law principles. Except as expressly modified herein, the Agreement remains in full force and effect and constitutes the entire agreement between the Parties with respect to the subject matter hereof. If any provision of this Amendment is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid provision shall be replaced by a valid provision that most closely reflects the Parties' intent.

12. EFFECT OF AMENDMENT

Except as expressly amended by this Amendment, all terms and provisions of the Agreement remain unchanged and in full force and effect. In the event of any conflict between the terms of this Amendment and the Agreement, the terms of this Amendment shall control.
