RECITALS

3. CONSIDERATION

3.1 Consideration. The parties acknowledge that the amendments set forth herein are supported by good and valuable consideration which is satisfactory to each party. The consideration for this Amendment includes the mutual covenants set forth herein and:

4.1 Each party represents and warrants to the other that: (a) it has full power and authority to enter into and perform this Amendment; (b) the person signing on its behalf is duly authorized to execute this Amendment; and (c) upon execution, this Amendment will constitute a valid, binding and enforceable obligation of such party in accordance with its terms.

5. NO OTHER MODIFICATIONS

5.1 Except as expressly amended by this Amendment, the Agreement shall remain in full force and effect. All obligations, rights, covenants and representations contained in the Agreement not specifically modified by this Amendment are ratified and confirmed and shall continue in full force and effect.

6. NOTICES

6.1 Notices to the parties shall be given in writing at the addresses set forth below (or at such other address as a party may designate by notice). Notices shall be deemed given when delivered by hand, by nationally recognized overnight courier, or on the date of transmission if sent by email and confirmed by hard copy within two business days.

7. MISCELLANEOUS

7.1 Governing Law. This Amendment shall be governed by and construed in accordance with the laws of the jurisdiction specified in the Agreement. To the extent the Agreement does not specify a jurisdiction, the laws of the state indicated below shall govern:

7.2 Entire Agreement. This Amendment, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating thereto.

7.3 Severability. If any provision of this Amendment is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision achieving the parties' original intent to the greatest extent possible.

7.4 Amendments and Waiver. Any amendment to this Amendment must be in writing and signed by duly authorized representatives of both parties. No waiver of any provision shall be effective unless in writing and signed by the party waiving compliance.

7.5 Counterparts and Electronic Signatures. This Amendment may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument. Signatures transmitted by electronic means (including scanned, faxed, or electronic signature platforms) shall be binding and treated as original signatures.
