CONTRACT ASSIGNMENT AMENDMENT

This Contract Assignment Amendment (this "Amendment") is made as of by and among (Assignor), and (Assignee). Assignor and Assignee are each sometimes referred to herein as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, Assignor and entered into that certain agreement entitled "" dated (the "Original Agreement").

WHEREAS, Assignor desires to assign to Assignee, and Assignee desires to accept, certain of Assignor’s rights and obligations under the Original Agreement as specified in this Amendment; and

WHEREAS, the Parties wish to amend the Original Agreement to reflect such assignment and assumption and to set forth the terms and conditions applicable to the transfer of rights and obligations described herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

Capitalized terms used but not defined in this Amendment shall have the meanings given to them in the Original Agreement. For purposes of this Amendment, "Assigned Rights" means the rights, benefits, interests and remedies specifically listed in Section 2 below.

2. ASSIGNMENT

Effective as of the Amendment Effective Date set forth above, Assignor hereby absolutely and unconditionally assigns, transfers and conveys to Assignee all of Assignor's right, title and interest in and to the Assigned Rights under the Original Agreement to the extent permissible under the Original Agreement and applicable law. Assigned Rights shall include, without limitation, the following rights and obligations:

3. ASSUMPTION

Assignee hereby accepts the foregoing assignment and agrees to perform, pay, discharge and otherwise observe and be bound by the covenants, agreements, duties, obligations and liabilities of Assignor arising under or relating to the Assigned Rights accruing on and after the Amendment Effective Date. Assignee shall be primarily responsible for performance of the Assumed Obligations described below:

4. CONSIDERATION

In consideration for the assignment and assumption set forth herein, Assignee shall pay to Assignor the sum of (USD) and/or provide the consideration described below, receipt of which Assignor acknowledges as adequate and sufficient consideration to effectuate this Amendment.

5. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other Party that (a) it is duly organized, validly existing and in good standing under the laws of its jurisdiction of formation, (b) it has full power and authority to enter into this Amendment and to perform its obligations hereunder, (c) the execution and delivery of this Amendment and the performance hereof have been duly authorized by all necessary action, and (d) this Amendment constitutes a legal, valid and binding obligation of such Party enforceable in accordance with its terms, subject to bankruptcy, insolvency and other laws of general application affecting creditors' rights and general equity principles.

Assignor further represents and warrants that, to Assignor's knowledge, there are no defaults under the Original Agreement by Assignor that would prevent the assignment of the Assigned Rights, except as disclosed in writing to Assignee as of the date hereof in the space below:

6. RELEASE

Upon Assignee’s full assumption of the Assumed Obligations, Assignor shall be released from further liability for obligations arising under the Assigned Rights accruing after the Amendment Effective Date; provided, however, that Assignor shall remain liable for any obligations or liabilities arising prior to the Amendment Effective Date unless otherwise expressly agreed in writing by the affected counterparty to the Original Agreement.

All notices required or permitted hereunder shall be in writing and shall be effective upon receipt when delivered personally, by nationally recognized overnight courier, or by certified mail return receipt requested to the addresses set forth above or to such other address as a Party may designate by notice to the other Parties in accordance with this Section.

8. GOVERNING LAW

This Amendment shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law that would result in the application of the laws of any other jurisdiction.

9. ENTIRE AGREEMENT

Except as expressly amended hereby, the Original Agreement shall remain in full force and effect. This Amendment, together with the Original Agreement, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, representations and understandings, whether oral or written, relating thereto.

10. SEVERABILITY

If any provision of this Amendment is held to be invalid, illegal or unenforceable in any respect by a court of competent jurisdiction, such invalidity, illegality or unenforceability shall not affect any other provision hereof, and this Amendment shall be construed as if such invalid, illegal or unenforceable provision had never been set forth herein.

11. AMENDMENTS; WAIVER

No amendment or modification of this Amendment shall be effective unless in writing and signed by each Party. Failure or delay by any Party to exercise any right hereunder shall not operate as a waiver of such right or of any other right.

12. COUNTERPARTS

This Amendment may be executed in one or more counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by electronic means shall be effective to bind the signing Party.

13. MISCELLANEOUS

The headings in this Amendment are for convenience only and shall not affect the interpretation of this Amendment. Each Party shall execute and deliver such further documents and take such further actions as may be reasonably required to effectuate the purposes of this Amendment.
