RECITALS

WHEREAS, the parties previously entered into that certain agreement entitled "" dated (the "Contract");

WHEREAS, the parties wish to document proposed changes, clarifications, and comments concerning the Contract in a manner that preserves each party’s rights pending formal agreement on any amendment; and

NOW, THEREFORE, in consideration of the mutual covenants herein, the parties agree as follows:

1. PURPOSE

The purpose of this Form is to record identified language in the Contract for the purpose of proposing replacements, clarifications, or deletions (each, a "Comment"). This Form is an instrument for negotiation and documentation only; no Comment set forth herein constitutes an amendment to the Contract unless and until the parties execute a written amendment signed by authorized representatives of both parties.

2. SUBMISSION AND IDENTIFICATION OF COMMENTS

Each Comment submitted using this Form shall (a) identify the page and section of the Contract to which it pertains, (b) provide a concise description of the issue, (c) propose specific replacement language or an express request for deletion, and (d) indicate the submitting party's requested priority level. Comments that fail to provide the required identification may be returned for correction prior to substantive review.

4. REVIEW PERIOD AND RESPONSE

The receiving party shall provide an initial written response to submitted Comments within calendar days of receipt, identifying which Comments are accepted, rejected, or require further negotiation. Where a specific Comment is designated as "Critical" by the submitting party, the receiving party shall prioritize good faith review and communicate interim status within the same response period.

5. CONFIDENTIALITY OF COMMENTS

Comments and any related drafts provided under this Form shall be treated as Confidential Information under the Contract, except to the extent that (a) disclosure is required by applicable law, or (b) the information is in the public domain other than by a breach of this Form. Each party shall use the same degree of care to protect such Comments as it uses to protect its own confidential information, but in no event less than a commercially reasonable standard of care.

6. INCORPORATION AND EFFECT OF COMMENTS

Submission of a Comment is a proposal for amendment and does not alter the operative rights or obligations of the parties under the Contract unless and until the parties execute a written amendment. No party waives any right, remedy, or defense by submitting or reviewing Comments. Comments expressly identified as "Non-Binding" shall be deemed to have advisory status only and shall not be cited as an admission of contract intent.

7. DISPUTE RESOLUTION

If the parties are unable to agree on the disposition of any Comment within the review period, the parties shall escalate the matter in accordance with the dispute resolution provisions set forth in the Contract. If no such provision exists, the parties shall confer in good faith to select an appropriate resolution mechanism.

No amendment, modification, or waiver of any provision of this Form shall be effective unless in writing and signed by authorized representatives of both parties. This Form shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

11. ENTIRE AGREEMENT; SEVERABILITY

This Form, together with the Contract to the extent expressly referenced herein, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior understandings relating to the submission and disposition of Comments. If any provision of this Form is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. COUNTERPARTS; EXECUTION

This Form may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be binding for all purposes.
