CONTRACT DOCUMENT REVISED CD

This General Business Agreement (the "Agreement") is entered into as of the Effective Date set forth below by and between:

RECITALS

WHEREAS, Client desires to obtain certain business services from Contractor and has provided specifications and objectives to Contractor; and

WHEREAS, Contractor represents that it has the experience, personnel, and capability to perform the required services and is willing to perform such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Contractor will provide services to Client.

SCOPE OF WORK

Contractor shall perform the services described below and any additional services as may be agreed in writing by the parties. Contractor will perform such services in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Client shall pay Contractor the compensation described below in exchange for the services rendered. All payments are due in United States currency unless otherwise agreed in writing.

Overdue payments shall accrue interest at the lesser of (i) per month, or (ii) the maximum rate permitted by applicable law. Client shall also be responsible for reasonable collection costs incurred by Contractor.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and shall continue until the End Date, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement without cause upon providing the other party with days' written notice. Termination for material breach may be immediate if the breaching party fails to cure within the cure period specified in a written notice.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by a party that is clearly identified as confidential or that a reasonable party would consider confidential given the nature of the information and the circumstances of disclosure. Each party shall (i) hold Confidential Information in strict confidence, (ii) not disclose it to third parties except to employees and consultants who have a need to know and who are bound by obligations of confidentiality at least as protective as those herein, and (iii) use the Confidential Information only to perform obligations under this Agreement.

The obligations of confidentiality shall not apply to information that (a) is or becomes generally available to the public other than by breach of this Agreement, (b) was already in the receiving party's possession without restriction, or (c) is required to be disclosed by law, regulation, or valid order of a court or governmental authority, provided the receiving party gives prompt notice to the disclosing party when permitted.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Contractor retains ownership of preexisting intellectual property and tools used to perform the services. Work product specifically created and paid for under this Agreement shall be owned by Client upon full payment, subject to Contractor's rights in preexisting materials and general know-how. The parties shall execute further documents as reasonably required to effectuate such transfer.

WARRANTIES; LIMITATION OF LIABILITY

Contractor warrants that the services will be performed in a professional and workmanlike manner. EXCEPT FOR THE EXPRESS WARRANTY SET FORTH ABOVE, ALL SERVICES ARE PROVIDED "AS IS" AND THE CONTRACTOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES. THE TOTAL AGGREGATE LIABILITY OF EITHER PARTY SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY CLIENT TO CONTRACTOR UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law provisions. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in that state.

ENTIRE AGREEMENT; AMENDMENTS

This Agreement, together with any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or modification of this Agreement shall be effective unless it is in writing and signed by authorized representatives of both parties.

NOTICES

Notices required under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Notice shall be deemed given upon personal delivery, three (3) business days after deposit with a nationally recognized overnight carrier, or upon confirmed electronic transmission if followed by a hard copy.

MISCELLANEOUS

The provisions of this Agreement that by their nature are intended to survive termination or expiration shall so survive, including but not limited to confidentiality, indemnification, limitation of liability, and intellectual property provisions. If any provision is held invalid, the remainder shall continue in full force and effect.
