CONTRACT MANAGEMENT STAFF ADDENDUM

This Contract Management Staff Addendum ("Addendum") is entered into as of by and between Client Name: and Contractor Name: . This Addendum amends and supplements the existing contract between the parties dated (the "Agreement").

RECITALS

WHEREAS, the parties wish to designate specific personnel of Contractor who will perform contract management, oversight, administration and related duties under the Agreement (the "Contract Management Staff"); and

WHEREAS, the parties desire to set forth the qualifications, duties, access rights, confidentiality obligations, security requirements and supervisory relationships applicable to such Contract Management Staff; and

WHEREAS, the parties intend that this Addendum shall govern the roles and responsibilities of the Contract Management Staff and the parties' respective remedies for any breach of those obligations.

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows:

1. Definitions

1.1 "Contract Management Staff" means the individuals identified in Section 2 who are authorized by Contractor to fulfill contract administration, performance monitoring, reporting, invoice validation, and other duties expressly described in this Addendum.

2. Designation of Contract Management Staff

2.1 Contractor shall designate the following personnel as Contract Management Staff. Each listed individual shall have authority to act on behalf of Contractor for the specific responsibilities set forth below.

3. Duties and Responsibilities

3.1 Contract Management Staff shall perform, at a minimum, the following duties: (a) monitor contract performance and compliance with the Agreement; (b) review and validate invoices and payment requests; (c) prepare and submit required reports on a timely basis; (d) coordinate corrective action for performance deficiencies; and (e) serve as the primary liaison with Client for day-to-day contract administration.

4. Access to Systems and Information

4.1 Subject to Client's security policies and written authorization, Contract Management Staff shall be granted only the minimum necessary access to Client systems and data required to perform their duties. Contractor shall ensure that access credentials are assigned on an individual basis and revoked immediately upon termination or reassignment of staff.

5. Confidentiality, Data Protection and Security

5.1 Contract Management Staff shall be bound by confidentiality obligations at least as protective as those contained in the Agreement. Contractor represents and warrants that it will implement and maintain administrative, technical and physical safeguards reasonably designed to protect Client Data against unauthorized access, disclosure, alteration and destruction.

5.2 In the event of a confirmed security incident or data breach affecting Client Data, Contractor shall notify Client within business days and shall cooperate in good faith with remediation, forensic analysis and regulatory reporting as required by law.

6. Background Checks and Training

6.1 Contractor shall cause Contract Management Staff to undergo background checks, reference checks and any security clearances required by Client prior to assignment. Contractor shall maintain records of such checks and provide certification upon request.

6.2 Contractor shall ensure that Contract Management Staff complete required onboarding and periodic training related to confidentiality, data protection, safety and compliance prior to performing duties and at the intervals required by Client.

7. Indemnification and Liability

7.1 Contractor shall indemnify, defend and hold harmless Client from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of: (a) Contractor's breach of this Addendum; (b) negligent acts or omissions of Contract Management Staff; or (c) Contractor's failure to comply with applicable laws or security obligations described herein, except to the extent caused by Client's gross negligence or willful misconduct.

8. Term and Termination

8.1 This Addendum shall commence on the Effective Date and shall continue for the term of the Agreement unless earlier terminated as provided herein. Either party may terminate this Addendum upon written notice to the other party if the other party materially breaches any provision of this Addendum and fails to cure such breach within days after receipt of written notice.

8.2 Upon termination or expiration, Contractor shall promptly remove access rights for Contract Management Staff, return or destroy Client Data as directed by Client, and provide reasonable transition assistance for up to days to effect an orderly transfer of responsibilities.

9. Notices

9.1 All notices required or permitted under this Addendum shall be in writing and delivered to the addresses below or to such other address as each party may designate in writing.

10. Amendments; Waiver; Counterparts

10.1 This Addendum may be amended only by a written instrument executed by authorized representatives of both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right, and any waiver must be in writing signed by the waiving party.

10.2 This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by electronic means shall be effective as originals.

11. Governing Law; Entire Agreement; Severability

11.1 Governing Law. This Addendum shall be governed by and construed in accordance with the laws chosen by the parties below without regard to conflict of laws principles.

11.2 Entire Agreement. This Addendum, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

11.3 Severability. If any provision of this Addendum is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves the parties' original intent to the greatest extent possible.

12. Remedies and Enforcement

12.1 The rights and remedies provided in this Addendum are cumulative and in addition to any other rights or remedies available at law or in equity. The prevailing party in any dispute arising under this Addendum shall be entitled to recover reasonable attorneys' fees and costs.
