CONTRACT RENEWAL ADDENDUM

RECITALS

WHEREAS, the parties entered into a written agreement titled dated (the "Original Agreement"); and

Except as expressly modified by this Addendum, all terms, covenants, representations and warranties of the Original Agreement shall remain unchanged and in full force and effect. The parties hereby agree that the Original Agreement is amended as follows:

4. CONSIDERATION

The Agreement shall continue on an automatic renewal basis for successive terms equal to the renewal term unless either party provides written notice of non-renewal at least prior to the then-current expiration date.

10. SEVERABILITY

If any provision of this Addendum is determined to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that most closely approximates the parties' original intent.

11. AMENDMENT; WAIVER; COUNTERPARTS

This Addendum may be amended only by a written instrument executed by authorized representatives of both parties. No waiver of any provision of this Addendum shall be deemed a waiver of any other provision or of any subsequent breach. This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
