WHEREAS, the parties entered into that certain agreement identified above (the "Existing Agreement") on or about to set forth the respective rights and obligations of the parties; and

This renewal shall be governed by and construed in accordance with the substantive laws of the jurisdiction specified in the Existing Agreement. If no governing law is specified in the Existing Agreement, the laws of the state or jurisdiction of the Renewing Party's principal place of business shall govern. Any dispute arising out of or related to this renewal shall be resolved in accordance with the dispute resolution provisions of the Existing Agreement.

Entire Agreement and Effect of Renewal

This Contract Renewal Information Form, together with the Existing Agreement (except as expressly modified herein), constitutes the entire agreement between the parties with respect to the subject matter hereof. In the event of any conflict between this renewal and the Existing Agreement, the terms of this renewal shall control to the extent of such conflict.

No amendment, modification, or waiver of any provision of this renewal shall be effective unless in writing and signed by authorized representatives of both parties.
