CONTRACT RIDER AGREEMENT

This Contract Rider Agreement ("Rider") is entered into as of Effective Date: by and between Client Name: and Contractor Name: . This Rider modifies and supplements the terms of the underlying Contract identified below.

RECITALS

WHEREAS, the parties entered into a written agreement entitled Contract Title: dated Original Agreement Date: (the "Agreement"); and

WHEREAS, the parties desire to modify certain terms of the Agreement by this Rider to address specific obligations, services, and technical requirements for the engagement described herein; and

WHEREAS, the parties acknowledge that this Rider is intended to supplement, and not conflict with, the material terms of the Agreement except as expressly set forth below.

NOW, THEREFORE

In consideration of the mutual covenants and agreements set forth herein, and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. PURPOSE AND INCORPORATION

1.1 This Rider sets forth additional terms, conditions and specifications applicable to the services, performance obligations, and technical provisions for the engagement described in the Agreement. Except as expressly modified by this Rider, all terms of the Agreement remain in full force and effect.

2. SCOPE OF RIDER SERVICES

2.1 Services: Contractor shall provide the additional services described below in accordance with the schedule and standards set forth in this Rider.

3. TERM AND PERFORMANCE DATES

3.1 Term: The Rider shall commence on Rider Commencement Date: and shall continue until Rider Termination Date: unless earlier terminated in accordance with the Agreement or this Rider.

3.2 Performance Times: Contractor shall perform services at the times and dates set forth in the event schedule or as otherwise agreed in writing by the parties.

4. COMPENSATION AND EXPENSES

4.1 Rider Fee: In consideration for the services under this Rider, Client shall pay Contractor the Rider Fee in the amount of USD, subject to adjustments as set forth below.

4.2 Expenses: Client shall reimburse Contractor for pre-approved direct expenses reasonably incurred in connection with performance of this Rider upon submission of appropriate documentation within thirty (30) days of receipt.

5. TECHNICAL RIDER AND FACILITIES

5.1 Technical Requirements: Contractor's technical requirements and specifications are set forth below. Client shall ensure that the venue or location meets these specifications prior to Contractor's arrival.

5.2 Access and Setup: Client shall provide reasonable access for setup, sound check and any required rehearsals. Failure to provide adequate access may constitute a material breach of this Rider.

6. ADDITIONAL PERSONNEL

6.1 Additional Personnel: If Contractor requires additional personnel, Client shall provide the number of additional personnel specified below or reimburse Contractor for cost of such personnel upon prior written approval.

7. CANCELLATION AND TERMINATION

7.1 Cancellation by Client: If Client cancels the engagement within Cancellation Notice Period: days of the scheduled performance, Client shall be liable for cancellation fees as set forth in the Agreement or as otherwise specified herein.

7.2 Termination for Cause: Either party may terminate this Rider for material breach by the other party if such breach remains uncured for a period of thirty (30) days after receipt of written notice specifying the nature of the breach.

8. INSURANCE

8.1 Client shall maintain and, upon request, provide evidence of insurance coverage appropriate to the engagement, including commercial general liability and, where applicable, event liability coverage with limits of liability customary for events of similar size and nature.

9. INDEMNIFICATION

9.1 Each party agrees to indemnify, defend and hold harmless the other party, its affiliates and their respective officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of or resulting from the indemnifying party's breach of this Rider, negligence, willful misconduct or violation of applicable law.

10. CONFIDENTIALITY

10.1 Confidential Information: Each party shall maintain in confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential under the circumstances, and shall not disclose such information except as required by law or as necessary to perform under this Rider.

11. INTELLECTUAL PROPERTY

11.1 Ownership: Unless otherwise agreed in writing, Contractor retains all right, title and interest in any pre-existing intellectual property used in connection with the services. Any new work product specifically commissioned and paid for pursuant to this Rider shall be owned as set forth in the Agreement.

12. REPRESENTATIONS AND WARRANTIES

12.1 Each party represents and warrants that it has the full right, power and authority to enter into and perform its obligations under this Rider and that performance will not violate any other agreement to which it is a party.

13. NOTICES

13.1 All notices, requests, demands and other communications required or permitted hereunder shall be in writing and shall be delivered to the addresses below by hand, nationally recognized overnight courier, or certified mail, return receipt requested.

14. AMENDMENTS; WAIVER; COUNTERPARTS

14.1 Amendments: No amendment or modification of this Rider shall be effective unless made in writing and signed by authorized representatives of both parties.

14.2 Waiver: No waiver of any provision of this Rider shall be effective unless in writing and signed by the party waiving compliance. A waiver of any breach shall not constitute a waiver of any other or subsequent breach.

14.3 Counterparts: This Rider may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

15. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

15.1 Governing Law: This Rider shall be governed by and construed in accordance with the internal laws of the jurisdiction specified below, without regard to conflict of law principles.

15.2 Severability: If any provision of this Rider is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Entire Agreement: This Rider, together with the Agreement, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings relating thereto, except as expressly provided in the Agreement.

16. MISCELLANEOUS PROVISIONS

16.1 Relationship of Parties: The parties are independent contractors. Nothing in this Rider shall create an employment, joint venture, agency or partnership relationship between the parties.

16.2 Successors and Assigns: This Rider shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
