CONTRACT SCHEDULE AGREEMENT

This Contract Schedule Agreement (this Agreement) is entered into as of Effective Date: by and between Party A: with principal place of business at , and Party B: with principal place of business at .

RECITALS

WHEREAS, the parties previously entered into a Master Agreement setting forth general terms and conditions under which Party B may perform services or supply goods to Party A (the Master Agreement), and the parties desire that this Agreement constitute a Schedule under that Master Agreement; and

WHEREAS, the parties intend for this Schedule to describe specific services, deliverables, milestones, payment terms and any additional or amended terms applicable to a distinct engagement or project identified herein; and

WHEREAS, the parties agree that the terms set forth in this Schedule shall govern only the Work described in this Schedule and shall be subject to the Master Agreement to the extent not inconsistent with this Schedule.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other good and valuable consideration, the parties agree as follows:

1. DEFINITIONS

For purposes of this Schedule, the following terms shall have the meanings set forth below. Capitalized terms not defined in this Schedule shall have the meanings given in the Master Agreement.

"Work" means the services, tasks, deliverables and obligations of the performing party as specifically described in Section 2 (Schedule and Scope) and in any itemized deliverables list attached hereto.

The term of this Schedule shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Schedule or the Master Agreement.

4. FEES AND PAYMENT

Party A shall pay Party B the fees and expenses set forth in this Section. The Fees for the Work shall be: (the Fees).

Unless otherwise provided, invoices shall be due and payable within Payment Terms: days of receipt.

5. MILESTONES AND DELIVERABLES

Acceptance of deliverables shall be governed by the acceptance criteria set forth in the itemized deliverables. Unless otherwise stated, written acceptance or constructive acceptance shall occur upon completion of the testing and verification procedures agreed by the parties.

6. CHANGES; CHANGE ORDERS

Any change to the Work, milestones, schedule, or Fees must be documented in a written Change Order signed by authorized representatives of both parties. No oral modification shall be binding. The Change Order shall specify any price adjustment and schedule impact and shall state whether the Master Agreement terms are amended thereby.

7. CONFIDENTIALITY

Each party agrees to maintain in confidence and not disclose to any third party Confidential Information of the other party disclosed in connection with this Schedule. Confidential Information shall not include information that is or becomes publicly available through no breach by the receiving party, or that is independently developed by the receiving party without reference to the disclosing party's Confidential Information. The confidentiality obligations shall survive termination of this Schedule for a period of three (3) years.

8. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it has the corporate power and authority to enter into this Schedule and to perform its obligations; (b) the execution and delivery of this Schedule and the performance hereunder do not and will not conflict with any other agreement; and (c) services shall be performed in a professional and workmanlike manner consistent with industry standards.

9. LIABILITY AND INDEMNIFICATION

Except as expressly set forth herein, neither party shall be liable to the other for incidental, consequential, special or punitive damages. Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's negligence, willful misconduct, or material breach of this Schedule. The aggregate liability of each party for direct damages arising out of or related to this Schedule shall be limited to the Fees paid or payable to Party B under this Schedule during the six (6) month period preceding the event giving rise to the claim.

10. INSURANCE

During the term of this Schedule, each party shall maintain insurance coverage appropriate to the scope of the Work, including commercial general liability, professional liability (if applicable) and workers' compensation as required by law. Upon request, a party shall provide certificates of insurance evidencing such coverage.

11. NOTICES

All notices required or permitted under this Schedule shall be in writing and shall be deemed to have been duly given when delivered personally, by certified mail (return receipt requested), or by nationally recognized overnight courier, to the addresses below or to such other address as either party may specify by notice in accordance with this Section.

12. GOVERNING LAW

This Schedule shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located within that State for disputes arising under this Schedule.

13. ENTIRE AGREEMENT; AMENDMENTS

This Schedule, together with the Master Agreement and any incorporated schedules or attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. This Schedule may be amended only by a written instrument signed by authorized representatives of both parties.

14. SEVERABILITY

If any provision of this Schedule is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be enforced to the fullest extent permitted by law.

15. WAIVER; COUNTERPARTS

No waiver of any breach of this Schedule shall be deemed a waiver of any other or subsequent breach. This Schedule may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.
