CONTRACT TERM ADDENDUM

This Contract Term Addendum (the Addendum) is made and entered into as of by and between Client Name: whose principal place of business is , and Counterparty Name: whose principal place of business is .

RECITALS

WHEREAS, the parties entered into a written agreement titled dated (the Agreement); and

WHEREAS, the parties desire to amend the term and certain related provisions of the Agreement pursuant to the mutual covenants set forth herein; and

WHEREAS, capitalized terms used but not defined in this Addendum shall have the meanings given to them in the Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the parties agree as follows:

This Addendum may be amended only by a written instrument executed by authorized representatives of both parties. No waiver of any provision of this Addendum shall be effective unless in writing and signed by the party against whom enforcement is sought.

9. GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to its conflicts of laws principles.

10. ENTIRE AGREEMENT; SEVERABILITY

This Addendum, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, whether written or oral. If any provision of this Addendum is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
