CONTRACT TRANSFER AMENDMENT

This Contract Transfer Amendment (the Amendment) is made effective as of by and between Transferor: with address , and Transferee: with address .

RECITALS

WHEREAS, Transferor and the Counterparty entered into a certain agreement entitled dated (the Original Agreement); and

WHEREAS, Transferor desires to transfer and assign to Transferee all of Transferor's right, title and interest in and to certain rights and obligations under the Original Agreement, and Transferee desires to accept such transfer and assume the obligations described herein; and

WHEREAS, the parties desire to amend the Original Agreement solely as set forth in this Amendment and, where required, to obtain the consent of the Counterparty to effectuate the transfer and assumption set forth below.

NOW, THEREFORE

In consideration of the mutual agreements and covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Capitalized terms used but not defined in this Amendment shall have the meanings given to them in the Original Agreement. For purposes of this Amendment, "Transferred Rights" means the specific rights, benefits and interests described in Section 2 below, and "Assumed Obligations" means the duties and liabilities assumed by Transferee as set forth in Section 3.

2. Assignment and Transfer

Transferor hereby assigns, transfers and conveys to Transferee, and Transferee hereby accepts, all of Transferor's right, title and interest in and to the Transferred Rights under the Original Agreement. The Transferred Rights include, without limitation, the rights described as follows:

Effective as of the Effective Date set forth above, Transferee unconditionally assumes and agrees to perform when due all Assumed Obligations relating to the Transferred Rights under the Original Agreement. Transferee shall be responsible for all liabilities arising on or after the Effective Date to the extent arising from acts or omissions occurring after the Effective Date.

4. Release and Continuing Liability

Unless the Counterparty provides an express written release contemporaneously with this Amendment, Transferor shall not be released from any liability under the Original Agreement arising from acts or omissions occurring prior to the Effective Date. To the extent the parties mutually agree and the Counterparty executes a release, Transferor shall be released from future liability as set forth in such release. Each party represents and warrants to the other that: (a) it is duly organized and validly existing and in good standing under the laws of the jurisdiction of its organization; (b) it has full power and authority to execute and deliver this Amendment and to perform its obligations hereunder; (c) the execution, delivery and performance of this Amendment has been duly authorized by all necessary corporate or other action; and (d) the execution and performance of this Amendment will not violate any law or contractual obligation binding on such party.

If the Original Agreement requires the consent of the Counterparty for assignment or transfer, the parties shall use commercially reasonable efforts to obtain such consent. No amendment, modification or waiver of any provision of this Amendment shall be effective unless in writing and signed by the party against whom enforcement is sought. No failure or delay by any party in exercising any right shall operate as a waiver thereof. If any provision of this Amendment is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. Counterparts; Execution

This Amendment may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed original signatures for purposes of this Amendment.

12. Binding Effect

This Amendment shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. Nothing in this Amendment shall be construed to relieve any party of liability for breach arising prior to the Effective Date.
